Job description

We are sharing a specialised part-time consulting opportunity for experienced corporate, capital markets, securities, and venture lawyers with substantive expertise in M&A, disclosure schedules, private placements, and venture financing transactions.

This role involves reviewing realistic corporate and capital markets matters and comparing multiple blinded legal work products for correctness, completeness, judgement, and practical usefulness. Selected lawyers will provide structured preference decisions and concise written reasoning based on their professional transactional experience.

Key Responsibilities

Corporate & M&A Review

  • Review legal matters involving corporate transactions and mergers
  • Assess transaction structure, legal reasoning, and supporting documentation
  • Evaluate work relating to acqui-hire transactions and merger review
  • Identify substantive legal errors, omissions, or unsupported conclusions
  • Apply practical judgement grounded in corporate and M&A practice

Seller Disclosure Schedules

  • Review seller disclosure schedules and related transaction materials
  • Assess completeness, consistency, and alignment with underlying agreements
  • Identify missing, unclear, or inadequately disclosed matters
  • Evaluate whether disclosure approaches appropriately address transaction risks
  • Assess practical usefulness from a transactional lawyer's perspective

Capital Markets & Securities

  • Review work involving securities offerings and capital markets transactions
  • Assess legal analysis relating to Rule 144A and Regulation S
  • Evaluate transaction documentation and closing requirements
  • Identify incomplete or inaccurate treatment of securities-law issues
  • Apply substantive judgement to private placement and cross-border offering matters

Closing Opinions

  • Review legal opinions prepared in connection with capital markets and financing transactions
  • Assess whether assumptions, qualifications, and conclusions are appropriately structured
  • Evaluate completeness and consistency with the underlying transaction
  • Identify substantive drafting or legal-analysis deficiencies
  • Judge whether opinions meet expected professional standards

Venture Financing

  • Review matters involving Series B and other venture financing transactions
  • Assess financing structures, transaction documents, and legal opinions
  • Evaluate whether work products appropriately address relevant corporate and financing issues
  • Identify missing considerations or weak legal conclusions
  • Apply practical judgement grounded in venture and emerging-company transactions

Blinded Legal Work Product Comparison

  • Read a synthetic legal matter and its underlying documents
  • Review six blinded legal deliverables, labelled A–F
  • Complete five head-to-head comparisons against a common comparator output
  • Assess each work product holistically rather than focusing on isolated drafting differences
  • Select the stronger response based on substantive legal quality

Legal Quality Evaluation

  • Assess work products for correctness, completeness, judgement, and usefulness
  • Identify material legal errors or omissions
  • Evaluate whether reasoning is coherent and adequately supported
  • Assess whether recommendations and conclusions would be useful in actual transactional practice
  • Distinguish substantive quality differences from minor stylistic preferences

Written Legal Reasoning

  • Provide a short, specific rationale for every preference decision
  • Explain the legal and practical considerations supporting each judgement
  • Reference relevant strengths, weaknesses, or omissions in the reviewed work
  • Maintain precise and professional written English
  • Follow project instructions and evaluation criteria consistently

Ideal Profile

  • Qualified lawyer with substantive professional experience in corporate law, capital markets, securities, venture financing, or M&A
  • Strong experience in one or more of the following:
    • Corporate transactions
    • Mergers and acquisitions
    • Seller disclosure schedules
    • Rule 144A / Regulation S transactions
    • Capital markets closing opinions
    • Series B or other venture financings
  • Able to evaluate legal work holistically for correctness, completeness, judgement, and practical usefulness
  • Strong transactional legal analysis skills
  • Precise written English
  • Comfortable comparing competing legal approaches and explaining preference decisions
  • Able to work independently against detailed written instructions and deadlines

Engagement Details

  • Part-time independent contractor engagement
  • Fully remote
  • Compensation: $90–$110/hour
  • Expected commitment: approximately 24 hours across the engagement
  • Work consists primarily of reviewing realistic corporate and capital markets matters and comparing blinded legal work products
  • All project work is subject to NDA and confidentiality requirements
  • External AI tools must not be used on project materials
  • Projects may be extended, shortened, or concluded based on project needs and performance
  • Work must be completed without using confidential or proprietary information belonging to any employer, client, institution, or other third party
  • H1-B and STEM OPT support is unavailable for this engagement
