Pay: $240,000.00 - $350,000.00 per year

Location

Fully remote within the United States. We are primarily targeting attorneys based in major U.S. metropolitan legal markets. Candidates must maintain an active bar license in the state in which they reside.

We are seeking attorneys with sophisticated experience advising businesses on corporate transactions, commercial agreements, governance, and related business matters.

Job Description

  • Advise sophisticated business clients on a broad range of corporate and commercial matters.
  • Structure, draft, review, and negotiate complex commercial agreements and business transactions.
  • Counsel clients on corporate governance, entity structuring, strategic transactions, and day to day business matters.
  • Support mergers, acquisitions, investments, financings, and other sophisticated transactions as applicable.
  • Manage transactions from initial structuring and diligence through negotiation and closing.
  • Identify legal and business risks and develop practical solutions aligned with client objectives.
  • Work directly with executives, founders, investors, and other business decision makers.
  • Collaborate with attorneys across practice areas to provide comprehensive client solutions.
  • Independently manage multiple sophisticated matters while maintaining exceptional work quality.
  • Build trusted client relationships through responsive, strategic, and commercially focused advice.

Qualifications

  • 5+ years of corporate, commercial, or business transactional law experience.
  • Current private practice law firm experience strongly preferred.
  • J.D. from a Top 100 U.S. law school.
  • Active bar license in the state where you reside.
  • Strong commercial contract drafting and negotiation experience.
  • Excellent analytical, drafting, communication, and problem solving skills.
  • Experience advising sophisticated business clients.
  • Experience at a highly regarded midsize, Am Law, or Big Law firm strongly preferred.
  • M&A, private equity, venture capital, financing, or other transactional experience is highly valued.
  • Ability to independently manage sophisticated client matters.
  • Strong business judgment and a practical, solutions oriented approach.
  • Portable business is welcome but not required.
