Location

Fully remote anywhere in the United States. Attorneys may be located in any state and can be admitted to the bar in any U.S. jurisdiction.

Note

Candidates must have 4+ years of direct venture financing and general corporate experience. Meaningful hands-on experience representing companies and/or investors in venture financing transactions is required.

Job Description

  • Lead and support venture capital and emerging company financing transactions from initial structuring through closing.
  • Draft, review, negotiate, and manage financing and corporate transaction documents.
  • Advise startup, venture-backed, and growth-stage companies on corporate governance and general corporate matters.
  • Handle company formations, equity issuances, board and stockholder approvals, capitalization matters, and related corporate documentation.
  • Advise clients on preferred stock financings, SAFEs, convertible notes, and other financing structures.
  • Communicate directly with founders, executives, investors, opposing counsel, and other transaction participants.
  • Identify transaction risks and provide clear, commercially practical legal recommendations.
  • Independently manage multiple active transactions and corporate matters.
  • Collaborate with a growing legal team committed to improving the efficiency and quality of sophisticated legal work.

Qualifications

  • 4+ years of directly relevant venture financing and general corporate experience.
  • Significant hands-on experience with venture-backed and emerging company transactions.
  • Strong corporate drafting, transaction management, negotiation, and client counseling skills.
  • Ability to independently manage venture financings and related corporate matters.
  • Active bar admission in any U.S. jurisdiction.
  • Experience representing technology companies, startups, investors, or venture-backed businesses strongly preferred.
  • Experience at a sophisticated corporate law firm or comparable transactional practice preferred.
