We are sharing a specialised part-time consulting opportunity for experienced legal professionals with substantial expertise in commercial contracts, transactional due diligence, contract review, and redlining.

This role focuses on reviewing professional documents, spreadsheets, and presentation materials involving contracts, diligence, negotiation, and related legal workflows. Selected experts will assess outputs for legal accuracy, completeness, drafting quality, risk identification, and overall professional credibility.

Key Responsibilities

Contract Review & Analysis

  • Review commercial and transactional agreements for accuracy, completeness, and legal quality
  • Assess contractual language for clarity, consistency, and practical enforceability
  • Identify material risks, omissions, conflicting provisions, and drafting weaknesses
  • Evaluate whether contractual positions appropriately reflect the underlying business context
  • Apply professional judgement to complex contractual issues and trade-offs

Redlining & Negotiation Review

  • Evaluate proposed contract revisions and redlines
  • Assess whether edits appropriately address legal, commercial, and operational risks
  • Identify revisions that create unintended consequences or inconsistencies elsewhere in an agreement
  • Review alternative language for precision, proportionality, and negotiation practicality
  • Distinguish material drafting issues from minor stylistic differences

Legal Due Diligence

  • Review diligence materials across corporate and transactional contexts
  • Identify legal risks, unresolved issues, missing documentation, and potential deal concerns
  • Assess whether diligence findings are properly supported by source materials
  • Evaluate issue prioritisation and escalation based on materiality
  • Review summaries and recommendations for completeness and practical usefulness

Document & Work Product Evaluation

  • Assess legal memoranda, contract summaries, diligence reports, and related professional documents
  • Evaluate spreadsheets used for diligence tracking, issue lists, or contract analysis
  • Review slide decks and executive materials for legal accuracy and presentation quality
  • Identify factual, structural, and formatting issues that reduce professional credibility
  • Ensure conclusions and recommendations are traceable to the underlying materials

Legal Risk & Commercial Judgement

  • Evaluate allocation of risk across contractual provisions
  • Review issues involving liability, indemnities, termination, warranties, obligations, and other key commercial terms
  • Assess whether recommendations appropriately balance legal protection and commercial objectives
  • Identify unsupported assumptions or overly broad legal conclusions
  • Apply practical transactional judgement to realistic business scenarios

Structured Evaluation & Feedback

  • Assess assigned outputs against domain-specific quality criteria
  • Identify substantive legal errors, drafting weaknesses, factual inconsistencies, and presentation issues
  • Distinguish significant legal risks from minor editorial concerns
  • Provide clear, structured written feedback explaining identified strengths and weaknesses
  • Apply evaluation standards consistently across documents, spreadsheets, and presentation materials

Ideal Profile

  • 5+ years of relevant professional experience in commercial contracts, transactional law, legal due diligence, contract negotiation, redlining, or a closely related legal function
  • Strong experience reviewing and negotiating complex commercial agreements
  • Practical familiarity with transactional diligence and legal-risk assessment
  • Ability to identify material contractual issues, drafting inconsistencies, and unsupported conclusions
  • Highly proficient with Microsoft Office and Google Workspace
  • Advanced proficiency with PowerPoint / Google Slides
  • Comfortable reviewing complex documents, spreadsheets, and professional presentation materials
  • Native or professional fluency in English
  • Excellent written communication and ability to provide precise, structured legal feedback
  • Strong attention to detail and professional drafting standards
  • Advanced degree from a recognised institution is advantageous

Engagement Details

  • Part-time independent contractor engagement
  • Fully remote
  • Flexible scheduling based on project requirements
  • Compensation: $70–$110/hour
  • Work includes evaluation of contracts, diligence materials, redlines, spreadsheets, and presentation documents
  • Projects may be extended, shortened, or concluded based on project needs and performance
  • Work must be completed without using confidential or proprietary information belonging to any employer, client, institution, or other third party
  • H1-B and STEM OPT support is unavailable for this engagement
