We are now a market leader in operating and managing fibre networks.

The Project Director will lead the end-to-end delivery of a strategic acquisition of duct and fibre infrastructure assets from another telecommunications operator. The role will be responsible for directing the technical, commercial, legal and operational due diligence, leading negotiation and execution of the Asset Purchase Agreement (APA), coordinating internal resources, and ensuring the successful transfer and integration of the infrastructure assets into the Company's network and operations.

The successful candidate will act as the overall programme lead, ensuring all workstreams are integrated, risks are actively managed, and the acquisition achieves its strategic and operational objectives. The following workstreams are an indication of what is in scope but could be changed subject to project needs.

Commercial Due Diligence

Lead the commercial assessment of the asset acquisition, including:

· Verification of the assets included within the transaction perimeter.

· Assessment of operating and maintenance costs associated with the acquired infrastructure.

· Review of existing supplier, maintenance and support agreements where relevant to the assets.

· Assessment of wayleave agreements, easements, leases and other property rights.

· Review of licences, permits and regulatory obligations associated with the assets.

· Identification of ongoing operational liabilities and commitments.

· Assessment of future capital investment requirements.

· Validation of the acquisition business case.

· Identification of operational efficiencies and network expansion opportunities.

· Assessment of transitional support requirements from the seller.

Legal & Contract Management

Work closely with internal and external legal advisers to:

· Manage legal due diligence on the infrastructure assets.

· Verify ownership, title and transferability of all assets.

· Coordinate the disclosure process.

· Lead negotiation of the Asset Purchase Agreement.

· Negotiate Transitional Services Agreements where required to support separation and operational continuity.

· Coordinate assignment or transfer of wayleaves, leases, licences and property rights.

· Ensure satisfaction of all conditions precedent.

· Coordinate transaction signing, completion and asset transfer.

Stakeholder Management

Provide clear executive reporting throughout the programme. Manage relationships with:

· Executive Leadership Team

· Seller representatives

· Legal

· Finance

· Outside Plant Fibre Engineering

· GIS teams

· Property and Estates teams

· External suppliers

Integration Planning

Lead planning for the integration of the acquired infrastructure assets, including:

· Transfer of asset ownership and records.

· Validation and migration of GIS and network inventory data.

· Integration into asset management systems.

· Maintenance and operational support arrangements.

· Health and Safety documentation transfer.

· Operational acceptance of the infrastructure.

· Asset labelling, documentation and configuration management.

· Day One operational readiness.

· Handover to Business-as-Usual operations.

Deliverables

The Project Director will be accountable for delivery of:

· Acquisition programme plan.

· Governance framework.

· Due diligence management plan.

· Technical due diligence reports.

· Commercial and legal due diligence reports.

· Asset verification and inventory reconciliation.

· Risk register.

· Executive reporting.

· Asset Purchase Agreement coordination.

· Completion readiness plan.

· Integration and operational transition plan.

· Asset data migration and validation plan.

· Day One operational readiness.

· Successful legal completion and transfer of the assets.

The base pay range shown is a guideline and reasonable estimate for this role. It takes into account the wide variety of factors that are considered in making compensation decisions. Actual compensation offered may vary from the posted range based upon geographic location, work experience, skill level, certifications, and other business and organizational needs. 

Additionally, this position may be eligible for certain benefits, such as health insurance and 401(k).
