We are looking for a Senior Legal Counsel to join our Legal team, reporting to the General Counsel. This is a hands-on, high-autonomy role for a lawyer who wants to work on genuinely complex commercial and data protection matters — not just review standard contracts.
The role is twofold. On the commercial side, you will draft, negotiate, and manage a broad portfolio of customer and vendor agreements across multiple jurisdictions, with a strong emphasis on technology and IoT-specific contract structures. On the data protection side, you will play a substantive role in 1NCE's privacy compliance program — anchored in GDPR, but extending to the other key jurisdictions in which we operate (including the US and Singapore), in close coordination with the team, the DPO and external counsel where appropriate.
You will work as part of a small legal team supporting global operations, which means a broad and shifting mandate: comfort getting involved across whatever the business needs, sound judgement on prioritisation, and a genuine interest in the IoT, telecommunications, software and cloud space are essential. You will have regular interaction with senior stakeholders across the business, own significant transactions and disputes. Syndikusrechtsanwalt status is preferred or obtainable.
Key Responsibilities Commercial Contracts- Draft, review, and negotiate a broad range of customer-facing agreements across multiple jurisdictions, including MSAs, SaaS and platform contracts.
- Oversee the contract lifecycle for customer agreements, leveraging existing automation, with a hands-on focus on larger and non-standard contracts and on keeping the underlying processes current across 1NCE's key markets in Europe, the Americas, and Asia-Pacific.
- Advise on jurisdiction-specific requirements and adapt standard contract frameworks for local law compliance across 1NCE's operating markets.
- Draft, review, and negotiate vendor and supply chain agreements.
- Support the commercial team by developing and maintaining standard customer contract templates, GTCs, negotiation playbooks, and pre-approved fallback positions.
Data Protection & Privacy- Advise the business on GDPR compliance, working in close coordination with the DPO and CISO.
- Support developing, maintaining, and continuously improving 1NCE's privacy compliance framework — including ROPA, privacy policies and notices, consent and cookie mechanisms, internal data protection policies, data subject request handling, and vendor privacy reviews.
- Support privacy compliance across 1NCE's key jurisdictions beyond the EU (including the US and Singapore), coordinating with external counsel where local depth is required.
- Draft, review, and negotiate data processing agreements (DPAs), data transfer clauses, and joint controller arrangements as part of customer and vendor contract workflows.
- Support international data transfer compliance, including EU Standard Contractual Clauses and adequacy framework monitoring, and assist the DPO with TIAs and DPIAs where additional internal capacity is needed.
- Monitor and understand developments in EU data protection and tech regulation (including the EU AI Act, Data Act, ePrivacy and CRA) and translate them into practical guidance for the business.
Disputes & Risk- Support the business on contentious commercial matters with customers, partners and suppliers through negotiation, settlement, and pre-litigation resolution, instructing and supervising external counsel where required.
- Identify, assess, and communicate legal risk to the business clearly and actionably.
- Support the development of internal compliance policies and risk frameworks.
Internal Partnering- Act as trusted legal advisor to Sales, Product, IT, Security, Finance/Accounting and Operations.
- Work closely with the Legal team and internal stakeholders on high-priority matters and provide cover across the full legal team mandate.
