Responsibilities

  • Support the VP of MA throughout the entire MA process with the opportunity to independently lead the acquisition process from start to finish
  • Qualify targets for fit and deal probability through early conversations with business owners/senior executives and review of initial diligence materials
  • Perform detailed financial analysis on financial statements and underlying data to identify trends and assess business strength and quality
  • Build and maintain detailed financial models in Excel to determine valuation, facilitate due diligence, and coordinate across internal teams while maintaining relationships with decision makers at acquisition targets

Associate Director of M&A

Preamble on Perseus:

Perseus, an operating group of Constellation Software Inc., acquires vertical market software companies around the world with a buy and hold mandate. It provides them with the strategic guidance and financial security they need to become leaders within their respective markets.

Are you a top-performing proven financial professional with honed financial modelling skills, exceptional business sense, a strong inherent drive, and exemplary relationship management skills?  We are looking for a driven, hard-working, modelling-guru with the demonstrated potential to become a future leader for the Perseus Operating Group at Constellation Software, a fast-growing global technology company. 

The Associate Director of M&A will support the Vice President of M&A throughout the entire M&A life cycle from lead generation through to closing transactions. The expectation is the candidate will be able to lead transactions independently as their career progresses.

Job Location: Toronto, Yonge & St. Clair (onsite 2-3 days/week)

Work Experience/Profile:

  • 5 years of progressive work experience at a top tier accounting, capital advisory, investment banking, management consulting, transaction services and/or private equity firm, with 2-3 years of mid-market deal experience executing transactions

  • Experience working with small owner-managed businesses as a client/target

  • Buy side experience is a plus but not required

  • CPA, CA designation / CFA / and/or MBA are considered assets

  • Excellent attention to detail, and the ability to work in a fast-paced environment, manage multiple priorities and meet tight deadlines

  • Strong communication skills (both verbal & written) with an emphasis on relationships, report writing, and research analysis

  • Advanced Excel, PowerPoint, and exceptional Financial Modelling skills

  • Ability to work variable hours and travel when required to close transactions

  • Confidence and polish is required for frequent interaction with Senior Executives, Business Owners, Investment Bankers, Lawyers, Accountants, and other key Stakeholders

Job Responsibilities

  • Support the VP of M&A throughout the entire M&A process with the opportunity to independently lead the acquisition process from start to finish in time

  • Qualifying targets for fit and deal probability through early conversations with business owners/senior executives and review of initial diligence materials

  • Performing detailed financial analysis on the financial statements and underlying data to identify trends and assess business strength and quality

  • Building a detailed financial model in Excel to determine valuation

  • Facilitating the due diligence process and coordinating across multiple internal teams

  • Maintaining relationships with decision makers at acquisition targets
