Job description

We are sharing a specialised consulting opportunity for experienced Corporate Attorneys with strong expertise in M&A, private equity, capital markets, commercial litigation, transactional drafting, and complex legal analysis to contribute to an advanced AI training and legal-evaluation project.

Selected attorneys will analyse sophisticated legal scenarios, review and annotate transactional and litigation materials, evaluate AI-generated legal content, and translate nuanced legal reasoning into structured inputs suitable for model development. No prior experience in AI is required.

Key Responsibilities

Corporate & Transactional Analysis

  • Analyse complex corporate-law scenarios
  • Evaluate M&A, private-equity, and capital-markets matters
  • Identify material legal issues, risks, and ambiguities
  • Apply practical legal judgement to realistic transactions

Legal Drafting & Annotation

  • Draft, review, and annotate legal documents
  • Improve accuracy, clarity, and contextual precision
  • Identify inconsistencies or incomplete legal reasoning
  • Support development of high-quality legal training data

M&A & Private Equity

  • Analyse transaction structures and deal documentation
  • Review contractual risk allocation
  • Evaluate legal issues affecting acquisitions and investments
  • Distil complex transactional concepts into structured analysis

Capital Markets

  • Assess capital-markets legal issues and documentation
  • Evaluate regulatory and transactional considerations
  • Identify material legal risks or inconsistencies
  • Provide clear explanations of complex issues

Commercial Litigation

  • Review litigation scenarios and supporting materials
  • Distil key facts, arguments, and legal issues
  • Evaluate reasoning and practical applicability
  • Support structured representation of litigation content

AI Legal Evaluation

  • Review AI-generated legal outputs for accuracy and nuance
  • Identify analytical or factual weaknesses
  • Provide detailed feedback supporting model improvement
  • Collaborate with technical specialists to translate legal reasoning into structured evaluation criteria

Ideal Profile

  • JD from an accredited institution
  • Active bar membership in the U.S. or international equivalent
  • Minimum 3 years of practising experience in M&A, corporate law, commercial litigation, capital markets, private equity, or related areas
  • Experience drafting or reviewing transactional documents or litigation materials
  • Strong legal analysis and synthesis skills
  • Excellent attention to detail
  • Ability to communicate legal reasoning clearly to technical and non-technical audiences
  • Background in computer science, technical fields, or AI/data-annotation projects is strongly preferred
  • Collaborative and solution-oriented working style
  • No prior AI-training experience is required

Engagement Details

  • Independent contractor engagement
  • Fully remote
  • Compensation: $140–$350/hour
  • Work will involve corporate law, M&A, private equity, capital markets, commercial litigation, document annotation, and AI-generated legal-content evaluation
  • Strong legal judgement and precise written analysis are central to this engagement
  • Project scope and legal subject areas may evolve based on project requirements
  • Work must be completed without using confidential, privileged, proprietary, client-identifiable, deal-sensitive, non-public, or otherwise restricted information belonging to any client, law firm, employer, transaction, or other third party
