Job description

We are sharing a specialised consulting opportunity for experienced U.S. corporate attorneys with strong expertise in transactional law, M&A, corporate governance, securities, commercial agreements, and private financings to contribute to advanced AI training and legal evaluation initiatives.

Selected attorneys will review and annotate transactional documents, develop realistic deal scenarios and research materials, evaluate AI-generated corporate legal content, and provide precise written feedback grounded in current U.S. corporate law. No prior AI experience is required; substantive corporate transactional experience is the primary qualification.

Key Responsibilities

Transactional Document Analysis

  • Review merger agreements and stock purchase agreements
  • Analyse operating agreements, bylaws, and governance instruments
  • Evaluate financing and other transactional documents
  • Identify drafting issues, inconsistencies, and material risks
  • Annotate documents with clear substantive legal commentary

Corporate Deal & Scenario Development

  • Develop realistic M&A and transactional hypotheticals
  • Create scenarios involving corporate governance and entity structuring
  • Draft research memoranda on corporate-law issues
  • Develop examples involving securities and private financings
  • Apply practical deal experience to complex fact patterns

AI Legal Output Evaluation

  • Review AI-generated corporate legal content
  • Assess outputs for accuracy under U.S. corporate law
  • Evaluate legal reasoning, clarity, and completeness
  • Identify incorrect conclusions or problematic drafting
  • Provide specific corrections and improvement recommendations

Risk, Drafting & Deal Judgement

  • Flag ambiguity and transactional risk in legal materials
  • Evaluate drafting issues as they would arise in live deal work
  • Explain the rationale behind proposed revisions
  • Apply commercial judgement to transactional scenarios
  • Distinguish material legal concerns from minor drafting issues

Legal Standards & Training Content

  • Contribute to guidelines for corporate legal evaluation
  • Help establish quality standards for transactional legal data
  • Translate complex corporate principles into structured formats
  • Produce clear written reasoning suitable for model training
  • Support consistent evaluation across corporate-law workflows

Ideal Profile

  • JD from an accredited U.S. law school
  • Active licence to practise law in at least one U.S. jurisdiction and in good standing
  • 3–10+ years of substantive corporate-law experience
  • Strong background in M&A, securities, corporate governance, commercial contracts, or private financings
  • Hands-on experience drafting and negotiating transactional documents
  • Experience with purchase agreements, financing documents, and governance instruments
  • Strong understanding of U.S. corporate law
  • Experience identifying transaction risk and drafting issues
  • Excellent written legal reasoning and communication skills
  • Ability to explain complex corporate-law concepts clearly
  • U.S.-based transactional practice experience in a law firm, in-house team, or independent practice
  • Buy-side and sell-side M&A experience is advantageous
  • In-house or general counsel experience at a U.S. company is valuable
  • Judicial clerkship or law-journal editorial experience is advantageous
  • Experience teaching or training junior attorneys is beneficial
  • No prior AI-training or model-evaluation experience is required

Engagement Details

  • Independent contractor engagement
  • Remote — United States only
  • Compensation: $100–$180/hour
  • Work will involve transactional-document review, corporate scenario development, legal research, AI-output evaluation, and written feedback
  • Assignments may cover M&A, securities, corporate governance, entity structuring, commercial contracts, and private financings
  • Strong current knowledge of U.S. corporate law is central to the engagement
  • Contributors will be expected to provide precise written reasoning and specific corrections
  • Hands-on transactional drafting and negotiation experience is particularly relevant
  • Project scope and legal materials may evolve depending on evaluation requirements
  • Work must be completed without using confidential, privileged, client-specific, deal-sensitive, material non-public, work-product-protected, or otherwise restricted information belonging to any employer, client, law firm, company, investor, or other third party
