Job description

We are sharing a specialised consulting opportunity for experienced transactional attorneys with strong expertise in commercial contracting, technology transactions, contract drafting, negotiation, and redlining to contribute to an advanced AI training and legal evaluation project.

Selected professionals will review and revise commercial agreements using established playbooks and policy positions, identify key legal and business issues, and provide clear written reasoning for proposed changes. The work closely mirrors day-to-day in-house commercial contracting practice and requires strong legal judgement, precise drafting, and consistent application of negotiated positions. No prior experience in AI is required.

Key Responsibilities

Commercial Contract Review & Redlining

  • Review and redline commercial agreements including MSAs, NDAs, DPAs, and related contracts
  • Apply established legal playbooks, policy positions, and negotiation parameters consistently
  • Identify provisions requiring revision, escalation, or alternative language
  • Assess whether proposed terms appropriately reflect acceptable legal and commercial risk
  • Maintain high standards of accuracy and consistency across contract reviews

Transactional Legal Analysis

  • Analyse agreement drafts to identify material legal, operational, and commercial issues
  • Determine appropriate company positions and acceptable fallback outcomes
  • Evaluate provisions involving limitation of liability, indemnification, confidentiality, data protection, and related negotiated terms
  • Apply practical transactional judgement to real-world contracting scenarios
  • Distinguish between high-priority legal risks and lower-impact drafting issues

Contract Drafting & Negotiation Reasoning

  • Draft clear and commercially appropriate revisions to contractual language
  • Provide reasoned written explanations supporting each substantive redline or proposed change
  • Apply advanced contract drafting and negotiation principles across complex agreements
  • Develop practical fallback language where preferred positions are not achievable
  • Ensure revisions are internally consistent and aligned with broader contractual objectives

Quality, Consistency & Remote Collaboration

  • Collaborate with project stakeholders to maintain consistent legal standards and interpretations
  • Incorporate project guidance and reviewer feedback into subsequent work
  • Maintain meticulous attention to detail across legal analysis and written output
  • Deliver clear, actionable legal reasoning in a deadline-driven environment
  • Work independently while maintaining reliable quality across remote assignments

Ideal Profile

  • Juris Doctor (JD) from an accredited law school
  • Active bar admission in a U.S. jurisdiction
  • Minimum of 4 years of transactional legal experience at a law firm or in-house legal department
  • Strong background in commercial contract drafting, review, redlining, and negotiation
  • Deep familiarity with provisions involving limitation of liability, indemnification, confidentiality, and data protection
  • Proven ability to synthesise complex legal concepts into clear and actionable written analysis
  • Strong legal judgement and high degree of accuracy in contract interpretation
  • Experience with technology transactions is strongly advantageous
  • Comfortable applying established legal playbooks and fallback positions to real-world agreements
  • Strong written communication and legal drafting skills
  • Ability to work independently in a confidential, remote, and deadline-driven environment
  • No prior experience in AI training or model evaluation is required

Engagement Details

  • Independent contractor engagement

  • Strong professional experience in transactional practice is central to this engagement
  • Technology-transactions expertise is highly valued
  • Project materials and assignments may involve confidential legal content and must be handled accordingly
