About This Opportunity

We are seeking an experienced, proactive paralegal to support in-house counsel across corporate, commercial, contract, financing, regulatory, and litigation matters. This is a hands-on role for someone who can take a task, determine the necessary steps, and move it forward with limited direction while knowing when to escalate legal questions to counsel.

The successful candidate will work cross-functionally with Legal, Executive Leadership, Finance, Operations, investors, internal business teams, and outside counsel. Strong judgment, follow-through, responsiveness, and the ability to manage competing priorities are essential.

Responsibilities

  • Provide day-to-day support to in-house counsel on corporate, commercial, contract, financing, regulatory, and litigation matters.
  • Draft, review, revise, organize, and manage contracts, commercial agreements, corporate records, financing documents, and legal correspondence for attorney review.
  • Coordinate the contract lifecycle, including intake, internal review, approvals, amendments, renewals, execution, and obligation tracking.
  • Support litigation by organizing case files, managing discovery materials and document production, tracking deadlines, and coordinating with outside counsel.
  • Prepare draft pleadings, subpoenas, discovery requests, summaries, and other litigation-related documents for attorney review; assist with electronic filings as needed.
  • Assist with financing transactions, signature workflows, closing checklists, and closing documentation under the direction of in-house counsel.
  • Conduct factual, public-record, and legal research and prepare clear summaries, memoranda, and status updates.
  • Maintain accurate and confidential legal files, contract records, calendars, and document-management systems.
  • Anticipate next steps, identify potential issues, recommend practical solutions, and keep stakeholders informed of progress and risks.
  • Coordinate effectively across Legal, Executive Leadership, Finance, Operations, investors, internal teams, and outside legal counsel.

Qualifications

  • Approximately 10 years of progressive paralegal experience in an in-house legal department, law firm, or similarly complex environment; exceptional candidates with somewhat less experience may be considered based on depth and relevance.
  • Hands-on experience supporting litigation, including case and document management, discovery coordination, legal filings, deadline tracking, and outside-counsel communication.
  • Experience drafting, reviewing, revising, and administering commercial contracts under the direction of legal counsel.
  • Experience supporting corporate legal matters, contract administration, or complex commercial transactions.
  • Proven ability to work independently, determine next steps, manage multiple priorities, and complete assignments with minimal direction.
  • Strong organizational, project-management, written communication, and verbal communication skills.
  • High attention to detail, sound judgment, professionalism, discretion, and commitment to confidentiality.
  • Proficiency with Microsoft Office and legal document-management tools; experience with legal research platforms, contract-management systems, and electronic filing systems is preferred.
  • Ability to learn new legal processes, technologies, and business operations quickly.
  • Experience with financing transactions, renewable energy, infrastructure, or another regulated industry is helpful but not required.
  • Education and Certification
  • Paralegal certificate, associate degree, or bachelor's degree in paralegal studies, legal studies, or a related field is preferred.
  • An equivalent combination of education and substantive paralegal experience will be considered.

Compensation and Benefits

  • Base salary range of $95,000- $100,000.00 annually, based on relevant experience, qualifications, and demonstrated capabilities.
  • Eligibility for a discretionary quarterly performance bonus based on individual and company performance.

Location and Work Authorization

This is a full-time, U.S.-based remote W-2 position. Candidates must reside in the United States and be legally authorized to work in the U.S. throughout employment. Maxwell Power does not provide visa sponsorship or employment-based immigration support for this role. Occasional travel may be required based on business needs.
