Location: Remote with preference for Northeast Corridor (2 days per month in New Haven, CT office)

Position Overview

Veradermics is seeking an attorney with securities and corporate governance experience to join the growing legal department and report directly to the General Counsel. The Senior Director, Securities and Corporate Counsel will be a strategic and senior-level legal role responsible for providing advice and guidance on SEC reporting and compliance, transactions, and corporate governance. This position requires a strong knowledge in SEC reporting and compliance. The individual will partner with key stakeholders, including executive leadership. This person will serve as a key legal advisor to support business leaders.

Reports to: General Counsel

Key Responsibilities

  • Develop and provide advice regarding securities law disclosure/compliance, including Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, and SEC registration statements, and drafting the annual meeting proxy statement and preparing for the annual meeting of shareholders
  • Provide securities law advice and compliance guidance for earnings releases, investor materials, management presentations and other communications
  • Provide legal support to the Board of Directors and Board committees, which includes advising on substantive legal matters; developing meeting agendas, and preparing materials for Board/Committee meetings
  • Provide legal support on financings
  • Provide legal advice and counseling with respect to equity-based compensation plans, executive compensation matters and Section 16 reporting
  • Assist in the oversight of compliance of various corporate policies and programs, including insider trading, Regulation FD and shareholder engagement
  • Monitor and maintain awareness of pending securities and corporate governance regulations and developments that are relevant to public companies
  • Maintain corporate records and ensure compliance with legal and regulatory requirements
  • Advise on governance best practices
  • Provide legal support for business development activities and other corporate transactions.

Candidate Profile | Who You Are

  • JD degree from an accredited law school with admission to practice law.
  • 7 - 10 years of legal experience with a mix of large law firm and in-house experience at pharmaceutical, biotechnology, or medical device companies with a focus on corporate, securities, capital markets and transactions.
  • Strong ability to collaborate cross-functionally and drive alignment.
  • Experience operating in a small to mid-sized biotech environment, ideally contributing to the transition from late-stage development to commercialization
