Salary Range:

$196,000.00 - $254,000.00

What’s the role?

As the Senior Counsel, Corporate & Securities you will be responsible for advising on securities laws, understanding business risks and opportunities, and advising the senior leaders and other internal partners on all aspects of the business through a public company lens. 

This is a full-time position reporting to the Senior Director, Associate General Counsel, Corporate & Securities. The ideal candidate will be well-versed in public company securities laws and corporate governance, as well as proficient in using AI technology in legal practice. In addition to base salary, you will also be eligible for an annual performance bonus, an equity incentive package, and our competitive benefits as part of your total rewards package at Etsy.

 

This position is located in Brooklyn, NY and requires your presence in Etsy’s Brooklyn, NY office once or twice per week depending on your proximity to the office. Learn more details about our work modes and workplace safety policies here.

What’s this team like at Etsy?

Our Legal Team provides timely and business-savvy legal advice. We support teams that design products, we draft contracts and policies, we advise engineers and leadership, advocate externally, and handle disputes to protect Etsy and our users.

What does the day-to-day look like?

  • Prepare and review Etsy’s SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and S-8s to ensure compliance with SEC and NYSE rules and regulations

  • Prepare and review Etsy’s Proxy Statement and support annual shareholders meetings

  • Provide Treasury and Tax Support, including for credit facilities, convertible notes offerings, 10b5-1 plans, share repurchase agreements, and intercompany agreements

  • Partner with the Investor Relations team on Regulation FD compliance oversight and investor engagement activities

  • Review external communications, including press releases, investor presentations, and other announcements, and significant internal communications

  • Review Impact disclosures in partnership with SEC Accounting and Impact teams

  • Monitor for developments in securities disclosure and SEC rulemaking and advise on updates relevant to the company’s disclosure requirements, on an ongoing basis.

  • Support policies and procedures relating to securities law compliance and disclosure matters; support the administration of Etsy’s Insider Trading Policy

  • Advise and support Etsy’s corporate governance policies, including ensuring compliance with governance policies and charter documents

  • Support executive compensation, equity compensation, and incentive compensation plan matters, and prepare and review proxy statement executive compensation tables

  • Work closely with Etsy’s Accounting, Finance, Treasury, Tax, and Impact teams, as well as internal and external legal counsel and legal services vendors

  • Support the preparation of Audit Committee and Risk Oversight Committee materials

  • Support other projects, such as financing transactions

  • Of course, this is just a sample of the kinds of work this role will require! You should assume that your role will encompass other tasks, too, and that your job duties and responsibilities may change from time to time at Etsy's discretion, or otherwise applicable with local law.

Qualities that will help you thrive in this role are:

  • 4-8 years’ experience at a law firm, and preferably also in-house dealing with a broad range of securities law disclosure, executive compensation, and corporate governance issues.

  • JD and admitted to a state bar (NY preferred) and are qualified to work in-house in NY.

  • Have the ability to work independently, and to manage projects from conception to completion, often without additional support, and to work collaboratively with others.

  • Experience providing clear, impactful advice to business partners, helping them analyze options and work collaboratively to reach the right decision, while distilling complex issues into clear explanations, organized steps, and compelling advice.

  • Outstanding verbal and written communication skills, effectively engaging technical experts, employees, and business leaders through clear, jargon-free language.

  • Excellent organizational and prioritization skills, supporting effective management of complex and competing priorities.

  • Excellent business writing and presentation skills. We expect you to be able to read a spreadsheet and build a slide deck. You will also need to think quickly on your feet and to give succinct, pragmatic advice in meetings or in real time.

  • Working knowledge of Workiva required.
