Job description

We are sharing a specialised part-time consulting opportunity for experienced transactional attorneys with strong in-house counsel experience across technology transactions, contract drafting, deal negotiation, and contract redlining to contribute to an advanced legal AI training and evaluation project.

Selected professionals will review and assess contract-redlining workflows, simulate negotiations, evaluate AI-generated legal responses, and help define objective standards for contract review and risk analysis. The work is particularly suited to attorneys with substantial experience negotiating sophisticated commercial and technology agreements.

Key Responsibilities

Contract Drafting & Redlining

  • Perform simulated contract negotiations and structured redlining exercises
  • Review and revise commercial agreements using professional transactional standards
  • Identify legal, commercial, and operational risks within contract language
  • Evaluate whether proposed revisions appropriately address risk allocation and business objectives
  • Maintain precision and consistency across iterative contract-review workflows

Technology Transactions & Deal Negotiation

  • Apply practical in-house legal judgement to technology-focused commercial matters
  • Review and negotiate agreements such as MSAs, NDAs, ISDAs, and derivatives-related documentation
  • Assess contractual terms in the context of broader business and transactional objectives
  • Identify issues involving liability, obligations, interpretation, and commercial risk
  • Apply deal judgement to realistic negotiation scenarios

AI Contract Evaluation

  • Review AI-generated responses to contract and negotiation scenarios
  • Identify weak legal reasoning, inaccurate interpretation, or inappropriate drafting choices
  • Evaluate whether generated redlines reflect sound transactional judgement
  • Provide clear expert feedback to improve model precision and consistency
  • Help improve AI systems designed for contract review and legal analysis

Evaluation Frameworks & Grading Criteria

  • Create objective evaluation frameworks for contract-related tasks
  • Define grading criteria for legal reasoning, drafting quality, negotiation judgement, and risk identification
  • Establish consistent standards for assessing AI-generated legal work
  • Document why particular responses are strong, incomplete, or incorrect
  • Support rigorous and repeatable legal evaluation workflows

Cross-Functional Legal Collaboration

  • Collaborate with product, research, and technical teams
  • Help refine datasets, guidelines, and best practices for AI-driven contract review
  • Translate transactional legal expertise into clear and actionable feedback
  • Contribute to legal-quality standards across technology-enabled workflows
  • Communicate complex legal concepts effectively to cross-disciplinary stakeholders

Ideal Profile

  • Minimum of 3 years of in-house legal experience
  • Strong focus on technology transactions and commercial contracting
  • Hands-on experience drafting, reviewing, negotiating, and redlining complex agreements
  • Experience negotiating MSAs, NDAs, ISDAs, derivatives documentation, or comparable commercial agreements
  • Strong deal-negotiation and contract-analysis skills
  • Ability to identify legal and commercial risk with precision
  • Excellent written and verbal communication skills
  • Meticulous attention to detail and strong analytical judgement
  • Ability to translate legal expertise into structured and actionable feedback
  • Comfortable working with cross-disciplinary teams in fast-paced environments
  • Prior exposure to AI, legal tech, or AI-training initiatives is advantageous
  • Experience at a corporate law firm in M&A or private-equity fund formation is a strong plus

Engagement Details

  • Part-time independent contractor engagement
  • Fully remote
  • Compensation: $90–$130/hour
  • Compensation is task-based, with payment tied to completed tasks that meet project specifications
  • Average handling time is approximately 3.5 hours per task
  • Effective hourly earnings may vary depending on task completion time and successful sign-off
  • Work will involve contract drafting, redlining, negotiation simulations, AI-output evaluation, and legal-quality framework development
  • Strong technology-transactions and commercial-contracting experience is central to this engagement
  • Project scope, workload, contract types, and evaluation standards may evolve depending on project requirements
  • Work must be completed without using confidential or proprietary information belonging to any employer, client, law firm, institution, or other third party
