Job description

We are sharing a specialised part-time consulting opportunity for experienced Intellectual Property Counsel with strong expertise in technology transactions, contract drafting, redlining, negotiation, legal playbooks, and commercial agreement review to contribute to an advanced legal AI training and evaluation project.

Selected professionals will perform simulated contract negotiations, assess AI-generated responses to complex contract scenarios, develop rigorous evaluation criteria, and provide expert legal feedback to improve how advanced AI systems identify contractual risk, interpret language, and support technology-focused legal workflows.

Key Responsibilities

Technology Contract Review

  • Review sophisticated technology and commercial agreements
  • Analyse contractual provisions for legal, operational, and commercial risk
  • Identify ambiguities, inconsistencies, and problematic language
  • Apply experienced legal judgement to technology-transaction scenarios
  • Evaluate whether proposed terms appropriately reflect business and legal objectives

Contract Drafting & Redlining

  • Draft and revise contractual language across realistic transaction scenarios
  • Perform simulated redlining exercises
  • Develop commercially appropriate revisions to contract provisions
  • Apply established negotiation positions and legal playbooks
  • Maintain consistency across related provisions and contract structures

Contract Negotiation

  • Conduct simulated negotiations involving technology agreements
  • Assess counterparty revisions and alternative drafting proposals
  • Identify material negotiation points and fallback positions
  • Balance legal risk with commercial priorities
  • Apply practical judgement to MSAs, NDAs, DPAs, and related agreements

AI Contract Evaluation

  • Review AI-generated responses to contract scenarios
  • Assess outputs for legal accuracy, completeness, and practical usefulness
  • Identify missed risks, inappropriate redlines, or weak legal reasoning
  • Provide structured expert feedback to improve model performance
  • Evaluate whether AI outputs reflect professional contract-review standards

Evaluation Frameworks & Legal Quality Standards

  • Develop objective grading criteria for contract-related AI tasks
  • Create repeatable frameworks for evaluating drafting and redlining quality
  • Translate legal judgement into measurable evaluation standards
  • Apply grading criteria consistently across multiple model outputs
  • Refine evaluation approaches as project requirements evolve

Cross-Functional Legal Collaboration

  • Collaborate with product, research, and technical teams
  • Help refine data, guidelines, and best practices for AI-driven contract review
  • Communicate complex legal reasoning clearly to multidisciplinary stakeholders
  • Contribute practical legal insight to iterative model-development workflows
  • Support improvements in legal AI precision and judgement

Ideal Profile

  • J.D. from an ABA-accredited law school
  • Active bar admission in at least one U.S. jurisdiction
  • Minimum 3 years of counsel experience focused on technology transactions
  • Strong experience negotiating MSAs, NDAs, and DPAs
  • Demonstrated expertise in contract drafting, redlining, and negotiation
  • Familiarity with legal playbooks and structured negotiation standards
  • Exceptional written and verbal communication skills
  • Meticulous attention to detail and strong analytical judgement
  • Ability to translate legal expertise into clear, actionable feedback
  • Experience working with cross-disciplinary teams in fast-paced environments
  • Experience at a corporate law firm is advantageous
  • Prior exposure to AI, legal technology, or training initiatives is beneficial but not required

Engagement Details

  • Part-time independent contractor engagement
  • Fully remote
  • Compensation: $100–$200/hour
  • Work will involve technology-contract drafting, redlining, negotiation, playbook application, and AI-output evaluation
  • Strong experience with MSAs, NDAs, DPAs, and related technology agreements is central to this engagement
  • Assignments may include simulated negotiations, contract-review exercises, grading criteria, and structured feedback on AI-generated legal outputs
  • Project scope, workload, transaction scenarios, and evaluation standards may evolve depending on project requirements
  • Work must be completed without using confidential or privileged information belonging to any employer, client, law firm, institution, or other third party
