Job description

We are sharing a specialised full-time opportunity for experienced corporate counsel with strong expertise in venture financings, corporate governance, equity administration, transaction execution, and legal operations to support a fast-moving technology environment.

Selected professionals will manage corporate transactions and governance matters end-to-end while helping develop scalable, technology-enabled legal workflows. The role combines hands-on transactional legal work with corporate record management, cap-table and equity administration, document drafting, and the design of AI-enabled tools and automations that improve legal-team efficiency.

Key Responsibilities

Venture Financings & Corporate Transactions

  • Support venture financings, secondary transactions, and other corporate matters
  • Draft and coordinate board and stockholder approvals
  • Work with outside counsel on transaction documents and execution
  • Manage transaction checklists, signatures, document circulation, and closing processes
  • Coordinate closing sets and post-closing requirements
  • Apply sound judgement regarding matters that require escalation or specialist external advice

Corporate Governance & Entity Management

  • Manage corporate governance processes and supporting documentation
  • Maintain accurate organisational documents, minute books, and corporate records
  • Coordinate state filings, annual reports, and other entity-maintenance requirements
  • Maintain subsidiary and entity records in an organised and current state
  • Support board, stockholder, and other formal corporate approval processes

Equity Administration & Corporate Records

  • Administer cap tables, equity plans, and equity grants
  • Manage grants, exercises, transfers, cancellations, and related equity transactions
  • Reconcile equity records and identify inconsistencies requiring correction
  • Maintain the master corporate data room and supporting legal documentation
  • Ensure corporate records remain accurate, accessible, and appropriately organised

Legal Drafting & Transaction Execution

  • Independently draft and manage routine corporate and legal documents
  • Review documents for accuracy, completeness, and consistency
  • Drive legal matters from initial drafting through signature and completion
  • Exercise judgement regarding legal risk, escalation, and outside-counsel involvement
  • Maintain strong drafting, proofreading, project-management, and communication standards

Legal Operations & Automation

  • Design AI-enabled legal intake and triage workflows
  • Build scalable processes for highly asynchronous legal environments
  • Develop self-service tools, templates, playbooks, and approval workflows
  • Automate recurring processes involving NDAs, approvals, signature requests, and similar matters
  • Identify repetitive legal work that can be streamlined through technology
  • Improve legal response times, accuracy, and operational scalability

Ideal Profile

  • Significant experience supporting venture capital financings, M&A, or comparable corporate transactions
  • Strong understanding of transaction documents, approvals, closing mechanics, and post-closing requirements
  • Hands-on experience with corporate governance, entity management, and state filings
  • Strong knowledge of cap-table management, equity plans, and equity administration
  • Exceptional organisation and attention to detail
  • Ability to independently manage matters from initial instruction through completion
  • Strong legal drafting, proofreading, communication, and project-management skills
  • Sound judgement and ability to identify matters requiring escalation or outside counsel
  • Genuine interest in AI, legal technology, workflow design, and automation
  • Comfortable operating autonomously in a fast-paced and highly asynchronous environment
  • JD and approximately 3+ years of corporate counsel experience across law-firm and in-house environments are advantageous
  • Experience supporting venture-backed or high-growth technology companies is highly valued
  • Hands-on experience with AI tools, workflow automation platforms, Slack integrations, or contract-management systems is beneficial
  • Experience improving or scaling legal processes through technology is advantageous

Engagement Details

  • Full-time engagement
  • Fully remote, with the opportunity to work from a San Francisco office
  • Compensation: $225,000–$275,000/year
  • Work will involve venture financings, corporate governance, equity administration, transaction execution, legal drafting, and legal-operations automation
  • Strong corporate transactional experience and attention to execution detail are central to this role
  • The position combines substantive legal work with process design and operational improvement
  • Responsibilities may evolve as the organisation's legal and operational requirements grow
