Legal Operations Associate

Job Summary: The Legal Operations Associate will support corporate governance, entity management, and compliance initiatives across Salas O'Brien, with primary responsibility for coordinating the cleanup, withdrawal, and dissolution of inactive legal entities filed with the Secretary of State offices. This role works closely with Legal, Tax, Finance, Treasury, and business leaders to resolve compliance issues, restore entities to good standing when required, and complete state filings necessary to discontinue inactive entities.

This is a temporary full-time position intended to support a focused corporate entity rationalization project.

Essential Responsibilities

  • Research corporate entity records with Secretary of State offices and other regulatory agencies.
  • Maintain and update entity tracking databases and related documentation.
  • Identify inactive entities and determine dissolution or withdrawal requirements.
  • Coordinate with Tax and Finance teams regarding outstanding taxes, fees, and filing obligations.
  • Assist with returning entities to good standing when required prior to dissolution or withdrawal.
  • Prepare, organize, and submit dissolution, withdrawal, and related compliance filings.
  • Track filing status and ensure completion of required actions.
  • Communicate with internal stakeholders regarding project status and outstanding requirements.
  • Support Legal department projects and corporate governance activities as assigned.
  • Develop reports and documentation related to entity management and compliance activities.

Qualifications

  • Recent law school graduate or candidate awaiting bar examination results preferred.
  • Previous internship experience with Salas O'Brien strongly preferred.
  • Strong research, organization, and project management skills.
  • Ability to manage multiple priorities and navigate complex administrative processes.
  • Strong communication and collaboration skills.
  • Proficiency with Microsoft Office Suite, including Excel.

Compensation

The expected base salary range for this role is $USD per year. Actual compensation will be determined based on a number of factors including skills, experience, qualifications, and location.
