Job description

Join Resource Pro
ReSource Pro is seeking a Senior Project Manager to join the Mergers & Acquisitions deal team. In this role, you will lead the financial and quantitative evaluation of every ReSource Pro target acquisition.
The Senior Project Manager leads pre-acquisition due diligence, research, and quantitative analysis, including building valuation models, developing M&A target business cases, and preparing investment review decks for the ReSource Pro Steering Committee and Board. The role also supports project management of targets during the due diligence stage.

All remote positions are based in the United States. Candidates must reside in the U.S. to be considered.

In this role you will...

Lead quantitative analysis and financial diligence
  • Create and update complex valuation and financial models for all M&A targets, including DCF and three-statement models, merger and LBO models, common-size analysis, sensitivity and scenario analysis, and comparable and relative valuations.
  • Use the standardized valuation model template, which is highly customizable to each target company’s pro forma financials.
  • Serve as the subject matter expert leading all financial and quantitative analysis needed to evaluate M&A targets, including pro forma forecasts, cash flow analysis, financial models, and other ad hoc financial analyses related to acquisition activity.
  • Prepare and present business cases and investment decks for the Steering Committee and executive management teams of ReSource Pro, Kelso & Company, and target firms.
  • Direct and organize all required pre-LOI financial and business diligence RFI request lists and review calls with target management.
  • Coordinate with the M&A team, ReSource Pro management, the equity sponsor, and external experts to create diligence checklists and meeting agendas.
Lead post-LOI due diligence execution 
  • Progressively update valuation models and financial analysis as new due diligence findings emerge.
  • Serve as the subject matter expert on the financial, quantitative, and qualitative factors underlying the business case and investment thesis for each M&A target in the due diligence phase.
  • Act as the liaison to functional groups across ReSource Pro to keep due diligence execution on the critical path.
  • Apply strong accounting knowledge to ensure accounting policy differences and material adjustments identified in due diligence are accurately captured and reflected in valuation models.
  • Build all necessary transaction flow-of-funds schedules and financial exhibits for purchase agreements and incorporate final deal consideration and contingent consideration (earnout) KPIs into valuation models.
  • Ensure due diligence findings and post-deal integration actions are reflected in the final valuation models, business cases, and investment decks presented to the Board for final approval.
  • Support the Integration Management Office (IMO) in building strategic and functional integration plans based on due diligence findings.
What you need to be successful

Education 
  • Bachelor’s degree in data management, information systems, computer science, business administration, or a related field preferred.

Experience
  • 5–8 years of experience in middle-market private equity, investment banking, or in-house corporate development with a focus on acquisitions.
  • 5–8 years of experience in complex financial modeling and quantitative analysis.
  • M&A experience in the insurance or business services industries preferred.
  • CPA and/or CFA preferred.
Skills and competencies
  • Ability to interact with and influence C-level executives and team members.
  • Experience managing people, with a strong ability to delegate tasks and work through other individuals.
  • Strong financial analysis skills, with the ability to explain technical concepts to audiences of varying technical expertise.
  • Skilled at building relationships with internal stakeholders.
  • Creative, nimble, and resourceful in finding new ways to achieve results.
Travel : 10% of travel time, domestic and international.

Your compensation
Our salary ranges are based on paying competitively for our size and industry and are one part of a total compensation package that also includes annual bonus eligibility, benefits, and other opportunities at ReSource Pro. Individual pay decisions are based on qualifications for the role, experience level, skill set, geography, and internal equity relative to other ReSource Pro employees.
This is a remote position. The salary range for most locations is $96,655–$163,676 and may vary based on experience and the candidate’s specific geographic location.
