Job description

We are sharing a specialised part-time consulting opportunity for experienced finance and commercial real estate lawyers with substantive expertise in secured lending, project finance, structured finance, commercial leasing, and real estate development transactions.

This role involves reviewing realistic finance and real estate legal matters and comparing multiple blinded legal work products for correctness, completeness, judgement, and practical usefulness. Selected lawyers will provide structured preference decisions and concise written reasoning based on their professional transactional experience.

Key Responsibilities

Secured Lending & Credit Facilities

  • Review legal work involving senior secured credit facilities
  • Assess credit agreement markups and financing terms
  • Evaluate lender and borrower protections, covenants, conditions, and documentation
  • Identify substantive legal errors, omissions, or commercially significant issues
  • Apply practical judgement grounded in leveraged or secured finance practice

Project Finance

  • Review project finance credit agreements and related transaction materials
  • Assess financing structures, contractual provisions, and risk allocation
  • Evaluate whether legal analysis appropriately reflects project-specific considerations
  • Identify incomplete or inaccurate treatment of financing issues
  • Review recommendations for practical transactional usefulness

Structured Finance & RMBS

  • Evaluate matters involving residential mortgage-backed securities (RMBS)
  • Review closing exceptions and transaction documentation
  • Assess whether identified issues are properly categorised and addressed
  • Evaluate the completeness and accuracy of closing-related analysis
  • Apply relevant structured-finance judgement where appropriate

Commercial Real Estate

  • Review commercial real estate agreements and transaction materials
  • Assess legal and commercial issues affecting property-related transactions
  • Evaluate allocation of rights, obligations, and risk
  • Identify omissions or drafting weaknesses with practical significance
  • Apply professional judgement grounded in commercial real estate practice

Commercial Leasing

  • Review tenant-favourable commercial leases
  • Assess lease provisions involving occupancy, economics, risk allocation, and operational rights
  • Evaluate whether proposed drafting appropriately protects the relevant party
  • Identify inconsistencies, omissions, or commercially significant weaknesses
  • Compare competing approaches from a practical transactional perspective

Development Agreements

  • Review matters involving mixed-use development agreements
  • Assess development obligations, rights, dependencies, and commercial arrangements
  • Evaluate whether proposed provisions appropriately address transaction complexity
  • Identify incomplete or problematic treatment of development-related issues
  • Apply legal judgement to multi-party real estate development structures

Blinded Legal Work Product Comparison

  • Read a synthetic legal matter and its underlying documents
  • Review six blinded legal deliverables, labelled A–F
  • Complete five head-to-head comparisons against a common comparator output
  • Assess each work product holistically rather than focusing on isolated drafting differences
  • Select the stronger response based on substantive legal quality

Legal Quality Evaluation

  • Assess work products for correctness, completeness, judgement, and usefulness
  • Identify material legal errors or omissions
  • Evaluate whether reasoning is coherent and adequately supported
  • Assess whether recommendations and drafting would be useful in actual transactional practice
  • Distinguish substantive quality differences from minor stylistic preferences

Written Legal Reasoning

  • Provide a short, specific rationale for every preference decision
  • Explain the legal and commercial considerations supporting each judgement
  • Reference relevant strengths, weaknesses, or omissions in the reviewed work
  • Maintain precise and professional written English
  • Follow project instructions and evaluation criteria consistently

Ideal Profile

  • Qualified lawyer with substantive professional experience in finance, commercial real estate, or related transactional practice
  • Strong experience in one or more of the following:
    • Senior secured credit facilities
    • Project finance
    • Structured finance / RMBS
    • Commercial leasing
    • Mixed-use development agreements
  • Able to evaluate legal work holistically for correctness, completeness, judgement, and practical usefulness
  • Strong transactional legal analysis skills
  • Precise written English
  • Comfortable comparing competing legal approaches and explaining preference decisions
  • Able to work independently against detailed written instructions and deadlines

Engagement Details

  • Part-time independent contractor engagement
  • Fully remote
  • Compensation: $90–$110/hour
  • Expected commitment: approximately 30 hours across the engagement
  • Work consists primarily of reviewing realistic finance and real estate matters and comparing blinded legal work products
  • All project work is subject to NDA and confidentiality requirements
  • External AI tools must not be used on project materials
  • Projects may be extended, shortened, or concluded based on project needs and performance
  • Work must be completed without using confidential or proprietary information belonging to any employer, client, institution, or other third party
  • H1-B and STEM OPT support is unavailable for this engagement
