JOB SUMMARY

The Senior Paralegal supports the General Counsel in managing the Company's legal affairs, with primary responsibility for reviewing, drafting, revising, and administering commercial contracts. Working independently and under the oversight of the General Counsel, this role has primary responsibility for key legal operations, including the contract lifecycle management system, corporate registrations, insurance applications and renewals, and insurance-related contracting support.


PRIMARY ACCOUNTABILITIES

  • Review, draft, revise, and support the negotiation of client, vendor, and other commercial agreements, with a focus on identifying legal and business risks and ensuring consistency with Company requirements
  • Manage contract matters through completion, including coordinating internal review and approvals, responding to stakeholder questions, tracking open items, and facilitating execution
  • Oversee the administration and effective use of the Company's contract lifecycle management system, including records, reporting, and user support, and provide day-to-day direction to the legal operations staff responsible for contract administration
  • Manage the Company's corporate registrations, renewals, and related filings and records
  • Coordinate insurance applications, renewals, certificates of insurance, and communications with brokers, carriers, and business stakeholders, including insurance matters arising in connection with contracts
  • Conduct legal research and support due diligence, acquisitions, real estate matters, and other legal or strategic projects as assigned
  • Partner with business stakeholders and outside counsel to resolve legal and contracting matters efficiently and in support of Company objectives
  • Perform other duties and responsibilities as assigned by the General Counsel
  • Comply with and support the Company's policies, procedures, and legal and ethical standards


KNOWLEDGE, SKILLS & ABILITIES

Minimum Required Qualifications

  • Bachelor's degree, an associate degree in paralegal studies with paralegal certification, a Juris Doctor (J.D.), or an equivalent combination of education and relevant experience
  • Minimum of five (5) years of progressively responsible experience, preferably in an in-house corporate legal department, in commercial contracting, corporate legal operations, or a related legal or contracts function, including experience as a corporate paralegal, contract negotiator, contract analyst, contracts manager, or a similar role. Candidates with a J.D. who are not licensed to practice law are encouraged to apply
  • Demonstrated experience reviewing, drafting, revising, negotiating, and administering commercial contracts
  • Experience administering or supporting a contract lifecycle management system and related contracting processes
  • Leadership skills with the ability to provide day-to-day direction to legal support or legal operations staff
  • Sound judgment and demonstrated ability to work independently, manage multiple priorities, identify and appropriately escalate material issues, and exercise ownership and accountability through completion with minimal supervision
  • Excellent written and verbal communication, editing, analytical, organizational, and problem-solving skills, with the ability to communicate effectively and professionally with executives, business stakeholders, clients, vendors, outside counsel, insurers, and other external parties
  • Strong technical aptitude and the ability to effectively utilize legal technology and business systems
  • Demonstrated adaptability, attention to detail, commitment to continuous process improvement, and ability to manage confidential and sensitive information with the highest degree of professional responsibility


Preferred Qualifications

  • Experience with contract negotiation and contract lifecycle management system administration
  • Knowledge of corporate governance, entity registrations, and insurance processes
  • Experience supporting mergers and acquisitions, due diligence, or real estate matters
  • Experience working in the healthcare, consulting, SaaS, or workforce solutions industries


WORK ENVIRONMENT

This is a remote role; however, we only operate in the following states: AZ, FL, GA, IL, IN, MA, MI, MN, MO, NC, NJ, NY, OH, PA, TX and WI.

The base salary range for this position is listed below. Actual salaries may vary depending on factors including but not limited to academic achievements, skills and experience. The range listed is just one component of the compensation package offered to candidates.


  • $80,000 - $126,000 annually
