Associate Counsel - Commercial

Overview:
BusPatrol is seeking a motivated and business-oriented attorney to join our growing legal team as Associate Counsel, Commercial. This role will support the company’s day-to-day commercial contracting and operational legal needs, with a particular focus on agreements involving school districts, municipalities, state and local government agencies, public procurement processes, and related commercial partners.
The ideal candidate will have experience reviewing, drafting, and negotiating commercial agreements in a fast-paced environment while balancing legal risk with practical business considerations. This individual will work closely with cross-functional stakeholders across sales, operations, procurement, finance, and customer success to support efficient contract execution and ongoing business operations.
This role is intended to provide operational capacity within the legal department by supporting routine and mid-level commercial matters, contract negotiations, internal legal requests, and contract administration activities, while escalating more complex or strategic issues as appropriate.
The ideal candidate should be highly organized, detail-oriented, collaborative, and capable of managing a high volume of agreements and competing priorities in a dynamic business environment.
Responsibilities
Draft, review, and negotiate a broad range of commercial agreements, including agreements with school districts, municipalities, counties, vendors, consultants, technology providers, and other commercial partners
Support day-to-day commercial contracting activities, including contract markups, negotiations, amendments, renewals, and internal legal support requests
Assist with public-sector contracting activities, including procurement-related agreements, RFP responses, and compliance with applicable governmental contracting requirements
Partner with internal stakeholders across sales, operations, finance, procurement, and customer success to support efficient contract execution and day-to-day legal operations
Identify potential legal and commercial risks within agreements and escalate higher-risk or non-standard issues as appropriate
Assist with the interpretation and negotiation of key contract provisions, including indemnification, limitation of liability, insurance, confidentiality, and performance obligations
Support ongoing contract administration and tracking activities, including renewal deadlines, contractual obligations, and related compliance matters
Utilize established templates, legal playbooks, and contracting processes to support efficient and consistent agreement review
Collaborate with senior members of the legal team on escalated matters, strategic initiatives, disputes, and other complex legal issues as needed
Stay informed on developments related to commercial contracting, public procurement, and state and local government contracting practices
Qualifications
Juris Doctor (JD) degree from an accredited law school
Active bar membership in at least one U.S. jurisdiction
Approximately 12+ years of relevant legal experience, preferably involving commercial contracting, transactional support, or in-house legal experience
Experience drafting, reviewing, and negotiating commercial agreements
Experience supporting agreements involving public-sector customers, school districts, municipalities, or government procurement processes is preferred
Familiarity with public procurement concepts, government contracting requirements, and commercial agreement structures is preferred
Strong organizational skills and ability to manage multiple priorities in a fast-paced environment
Strong written and verbal communication skills with excellent attention to detail
Ability to work collaboratively with cross-functional business stakeholders while exercising sound legal and business judgment
Experience working with contract lifecycle management systems and standard legal workflows is preferred
Experience supporting technology, transportation, infrastructure, public safety, or operationally complex businesses is a plus
Must be responsive, adaptable, and comfortable managing a high volume of agreements and competing deadlines
