Job Description

What You'll Do 

Reporting to the Associate General Counsel – Commercial, the Senior Legal Counsel - Commercial will serve as a strategic partner and legal advisor across Central and Eastern Europe, enabling revenue growth while managing legal and regulatory risk in a global SaaS environment.   

This role partners with Sales, Customer Success, Revenue Operations, Deal Desk, Finance, Privacy, Security, Product and other groups to support complex commercial (SaaS) transactions, shape commercial legal strategy, build scalable contracting practices and develop and drive contracting workflow and process improvements. 

The position requires an independent, disciplined self-starter with a team-focused mindset and a passion for resolving problems and executing long term strategies that improve productivity, remove bottlenecks, and serve as blueprints for global adoption and use. It also requires strong communication skills, the ability to present positive, creative business friendly solutions, and advise management of risks and mitigation strategies. 

Who You Are & What Makes You Qualified 

The ideal candidate is a strategic, pragmatic, and business-oriented attorney with significant experience supporting complex commercial transactions in a high-growth technology or SaaS environment. You excel at balancing legal risk with business objectives and building strong cross-functional partnerships. 

Responsibilities 

  • Review, draft and negotiate all forms of customer contracts with some of the world’s largest and most respected brands. This includes but is not limited to Non-Disclosure Agreements, SaaS Agreements, Professional Services Agreements, Master Services Agreements, Order Forms, Statements of Work, Data Processing Addenda, Privacy Terms, Artificial Intelligence Terms, Security Frameworks, Proofs of Concept, and Service Level Agreements. 

  • Interpret contractual terms and conditions and confidently advise internal and external stakeholders and management regarding contractual obligations and business friendly solutions and strategies to resolve complex issues. 

  • Develop, implement and maintain standard templates, forms, playbooks, and clause libraries. 

  • Provide training to the sales and services teams that you support, and across the wider Sprinklr business as required. 

  • Provide transactional support and general legal advice to different teams across the company on mitigating legal risks in the commercial context and work closely with cross functional teams to achieve business outcomes with safeguarding Sprinklr interests. 

  • Handle other project-based work within the scope of the legal department responsibilities on as-needed basis including contracting process and workflow improvements, AI use/ adoption and quote to cash processes. 

  • Develop strong relationships with other members of the Sprinklr Legal team and business stakeholders, becoming a trusted advisor to internal clients. 

 

Requirements 

  • Fully qualified German lawyer (First and Second State Exam)  

  • Fluent in both German and English  

  • 5-10 years of experience as a commercial attorney providing legal advice and negotiating SAAS agreements in a software/technology/public company environment. 

  • Strong understanding of European commercial legal considerations, with experience supporting multi-jurisdictional transactions in Europe and partnering across regions in a global, matrixed organization. 

  • Success working with sales teams in customer negotiations and contracting. Prior use of a contract lifecycle management software (e.g. Conga/ SFDC) is a plus. 

  • Excellent organizational skills with great attention to detail, common sense and a sense of humor. 

  • Strong written and oral communication skills, including the ability to clearly and concisely explain legal concepts to a business audience. 

  • Ability to work independently, manage competing priorities effectively, and meet deadlines. 

  • Outcomes-oriented, creative, and collaborative, able to think outside the box to arrive at business-friendly solutions. 

  • Comfortable in a fast-paced and demanding environment, and able to maintain calm and perspective under pressure.
