Position Summary

The candidate will join the Legal & Compliance department and will be primarily tasked with leading the legal review, drafting, negotiation and management of procurement contracts across the organization, including technology, professional services and outsourcing agreements, supporting strategic partnership arrangements impacting Coalfire and its subsidiaries, and supporting the Commercial Team as needed.


What You'll Do
  • Collaborate with procurement, IT, finance and operations teams to develop and maintain standard contract templates, playbooks and negotiation guidelines
  • Review, draft, redline and negotiate procurement agreements, including SaaS subscriptions, professional services agreements, licensing agreements, SOWs and MSAs
  • Assist the business by handling all agreements for a few select major clients
  • Collaborate with Executive Leadership to create strategic partnerships impacting Coalfire and its subsidaries
  • Provide recommendations to internal business partners on policies, guidelines, and exceptions in the contracting, product development and marketing processes
  • Conduct legal review of proposals, RFP responses and third-party risk assessments related to procurement
  • Advise on data privacy, security and compliance obligations, including GDPR, HIPAA and other applicable regulatory requirements
  • Prioritize and execute assigned projects and tasks, and provide support to team members or other department resources as needed
  • Keep aware of current trends and best practices for addressing emerging legal and business risks.
  • Manage the contract lifecycle, including renewals, amendments, terminations and close-out documentation
  • Serve as the primary legal contact for supplier and partner contract negotiations
  • Provide training to team and business colleagues on procurement contracting processes, risk management and compliance requirements
  • Support risk management and litigation initiatives as required
  • Support special contract and product projects as assigned
  • Assist with Corpoarte Governance or other filing reqts as may be needed
  • 10% Travel required.

  • At least 10 years of experience as a contracts professional with significant focus on procurement agreements
  • At least three years of experience providing support in Partnership and Procurement Reviews
  • A high level of interest in transactional law and the cybersecurity industry
  • Experience working in-house and in a remote environment is a plus
  • Excellent written, verbal and interpersonal communication skills with a proven track record of forging relationships among stakeholders
  • Proven organizational and analytical skills and professional business judgment
  • The ability to maintain confidentiality and exercise discretion
  • Strong drafting skills, with the ability to achieve consistent language across agreements that are similar in nature
  • Excellent problem-solving and analytical skills to support and achieve business goals and a desire efficiencies to improve program performance
  • A willing spirit and humor in undertaking tasks required to accomplish the work of the Legal Department
  • A proactive, attentive attitude toward both daily tasks and long term initiatives and ability to adapt to change and prioritize as needed
  • A conscientious work style including a diligent approach to completing the tasks at hand and a sense of accountability and pride in assignments
