Job Title: Corporate & Securities Attorney

Job Summary

The future is bright for the Porch Group, and we'd love for you to be a part of it as our Corporate & Securities Attorney.

We are seeking a proactive, business-minded, and highly organized attorney to join our Legal team, supporting the full range of public-company corporate and securities work for a Nasdaq-listed company (PRCH). This includes SEC reporting, corporate governance and secretarial functions, capital markets and financing activity, mergers, acquisitions and other strategic transactions, equity compensation, entity management, and public-company policy administration. You will work directly with and report to the Senior Director, Corporate & Securities, who leads the function, and you must bring meaningful and significant U.S. public company experience to the role. The ideal candidate is a self-starter with sound legal judgment, strong ownership instincts, and the ability to move quickly in a fast-paced, dynamic environment.

What You Will Do As A Corporate & Securities Attorney

  • Support SEC reporting and public-company compliance, including preparation, review, and filing of periodic and current reports (Forms 10-K, 10-Q, 8-K) and the annual proxy statement, as well as Section 16 compliance and reporting
  • Support corporate governance and secretarial functions, including preparation of Board and committee agendas, resolutions, and meeting minutes, and coordination of the Annual Stockholder Meeting
  • Partner with the Senior Corporate Paralegal to lead entity formation and ongoing entity maintenance, including foreign qualifications, state filings, and clear, accurate, and searchable internal records
  • Support capital markets and financing activity, including cap table management and due diligence for public-company financings and other strategic transactions
  • Support mergers, acquisitions, and other strategic transactions, including managing related diligence and signing and closing workstreams
  • Support equity compensation and HR-related agreements, including administration of equity awards and expansion of equity offerings to staff outside the U.S.
  • Collaborate cross-functionally with Finance, Accounting, Commercial, HR, Communications, and other teams, and lead initiatives that require definition, cooperation, and conflict resolution with peers and senior leadership

What You Will Bring As A Corporate & Securities Attorney

  • Juris Doctor (J.D.), Master of Laws (LL.M.), or a substantially equivalent legal degree from a recognized institution in India, including an Indian LL.B. or comparable law degree that qualifies the holder for legal practice or advanced legal study
  • Minimum of 3+ years of relevant experience in U.S. corporate and securities law, at a top U.S. law firm and/or in-house at a U.S. public company
  • Strong experience in public-company governance and SEC reporting, corporate structures, earnings cycles, investor relations, and regulatory deadlines
  • Strong drafting skills across securities filings, governance documents, and transactional agreements, with knowledge of relevant legal concepts, terminology, and process
  • Proficiency with legal and productivity tools such as Workiva, Diligent, SimpleLegal, Lexion, Toppan Merrill, and the Microsoft Office suite (Word, Excel, PowerPoint, Outlook, Teams)
  • A high degree of professionalism and trustworthiness, with a demonstrated ability to handle highly confidential information with discretion
  • Proven experience working with US based business teams
  • Excellent written and communication skills in English language
  • Working Hours: 8 Hours (Excluding breaks)
    4 Core US Hours Overlap (7:30pm–11:30pm IST)
    4 flexible hours (IST)
  • Workspace: A quiet space to work, an internet connection of at least 30 Mbps download | 10 Mbps upload

What You Will Get As A Porch Group Team Member

Pay Range: 3,750,000 – 5,250,000 INR annually
