Job description

Our client was founded in 1999 and headquartered in New York, this full-service law firm has built a reputation as a highly skilled yet hands-on legal practice serving individuals, families, and businesses. With a client-centered philosophy and the guiding principle, Counsel for What Matters Most, the firm emphasizes accessibility, responsiveness, and practical solutions. Its attorneys remain personally involved in each matter, ensuring that clients receive attentive service, strategic guidance, and costeffective representation tailored to their specific needs.

The firm offers a broad range of legal services across commercial and state/federal civil litigation, personal injury, labor and employment matters, matrimonial and family law, corporate and business law, real estate transactions and lease matters, asset-based transactions, trusts and estates, probate and administration, elder law including Medicaid and longterm care planning, as well as DWI and criminal defense. Known for thinking creatively and strategically, the firm partners closely with clients to navigate both routine and complex legal challenges, combining technical excellence with a strong commitment to ethics, continuous improvement, and long-term client relationships.

This is a great opportunity to be the first person in the Philippines to hold this specific corporate attorney position, joining two existing virtual attorney VAs in a well-established remote work structure. The role offers growth opportunities, particularly in trademark and IP work where you’ll have greater independence over time.

Duties and Responsibilities:

  • Lead corporate formation processes and documentation (primary focus for first 3-6 months)
  • Provide support to senior partners on broader corporate and business law matters.
  • Assist in mergers and acquisitions transactions, including due diligence and documentation support.
  • Support ongoing contract management, including tracking, organizing, and maintaining corporate agreements.
  • Communicate directly with clients to gather information, provide updates, and address legal queries.
  • Prepare and review operating agreements, shareholder agreements, bylaws, and other corporate documents.
  • Assist clients with trademark searches, applications, registrations, and related intellectual property matters.
  • Conduct legal research and prepare correspondence, memoranda, and other legal documents.

Why Join This Opportunity?

  • Work alongside experienced business and corporate attorneys in a collaborative and supportive environment.
  • Build trusted relationships with business owners, entrepreneurs, and organizations.
  • Gain exposure to a broad range of corporate, transactional, and intellectual property matters.
  • Enjoy opportunities for professional growth through mentorship and hands-on experience
  • Help clients build, protect, and grow successful businesses.

Requirements

Must-have Skills / Qualification:

  • Minimum of three (3) years of experience handling corporate and business law matters, including business entity formation, corporate governance, contract drafting and negotiation, business transactions, mergers and acquisitions, and general corporate counsel services from either a law firm or an in-house legal environment.
  • Prior experience working with a US-based company or law firm is required.
  • Strong analytical, legal research, drafting, and negotiation skills, with the ability to provide practical legal advice and sound business judgment.
  • Excellent written and verbal communication skills, with the ability to manage client relationships professionally and deliver exceptional legal service.
  • Self-motivated and capable of working both independently and collaboratively, with the ability to independently manage legal matters from inception through completion.
  • Candidates must be licensed attorneys in good standing.
  • Demonstrated career stability with meaningful tenure in previous roles (measured in years, not short-term engagements).

Nice-to-Have Qualifications:

  • Experience in trademark registration, enforcement, and related intellectual property matters.
