The Role

eBay is seeking a technically minded and highly collaborative attorney to join our global legal team. The role will lead legal architecture for eBay’s financial services and regulatory aspects in M&A activity. It includes integrating acquired technologies into our marketplace ecosystem.

This role is the strategic bridge between a deal’s inception and its operational reality. You will be the primary specialized consultant for acquired businesses and their embedded lawyers. You will assist them in overcoming challenges related to introducing new financial services within the eBay framework. The services include managed payments, stored value/prepaid access, financing, and insurance.

This is a high-visibility role requiring an outstanding blend of deep legal technical knowledge and outstanding emotional intelligence. What You Bring

  • Drive M&A Excellence by leading detailed regulatory risk evaluations for global acquisition targets, identifying risks in US Money Transmission, Regulation E, and AML/Sanctions regimes before they become deal-breakers.

  • Bridge the US-Canada gap by serving as the internal authority on US state and federal laws. You will also guide application of the Canadian Retail Payment Activities Act (RPAA) and the specific technical flows of an integration.

  • Enable product innovation by working with embedded business and product lawyers. Convert dense regulatory requirements into “magical” and scalable user experiences. These experiences serve millions of global buyers and sellers.

  • Coordinate global integration by directing the legal roadmap for acquired licenses and payment systems. Ensure smooth compliance throughout the process. Lead the growth of eBay’s global financial stack.

  • Negotiate complex partnerships, drafting and negotiating high-stakes commercial agreements with global banks, card networks, and payment processors directly connected to your integration workstreams.

Key Responsibilities:

M&A Due Diligence & Regulatory Strategy

  • Lead Regulatory Diligence: Serve as the primary legal lead for the payments and financial services aspects of eBay’s M&A activity. Evaluate the regulatory health, licensing portfolio, and compliance infrastructure of acquisition targets.

  • Risk Assessment & Mitigation: Identify and quantify legal risks related to US Money Transmission and Funds Transfer regulation (e.g., Regulation E), BSA/AML, and Sanctions during the deal phase, providing actionable insights to the M&A team and executive leadership.

  • Canadian Expansion Lead: Apply specialized knowledge of the Canadian Retail Payment Activities Act (RPAA) and other provincial regulations to assess and onboard Canadian-based targets or services.

Integration & Financial Services Enablement

  • Launch Partnerships: Act as the specialized financial services consultant within acquired entities. Guide them through the complexities of launching new financial products onto the eBay platform and expanding into new global jurisdictions.

  • Infrastructure Integration: Manage the legal roadmap for migrating acquired payment systems and stored value products into eBay’s global “Managed Payments” ecosystem.

  • Adjacency Advisory: Provide deep subject matter expertise on Money Transmission, Stored Value/Prepaid Access, Consumer Financial Protection, and other Financial Services to help product teams design compliant, competitive features.

Compliance & Technical Oversight

  • Regulatory Implementation: Partner with regional legal experts to operationalize global payments and financial services legal and regulatory requirements. You aren’t just identifying the law; you are leading the effort to apply it to the specific technical flows of an integration.

  • License Management: Direct the process for obtaining, updating, or transitioning money transmitter licenses and other financial permits resulting from M&A activity.

  • Network & Provider Relations: Collaborate on the negotiation of commercial and technical agreements with banks, processors, and card networks specifically tied to integration workstreams.

Stakeholder Coordination & Execution

  • Cross-Functional Orchestration: Serve as the “connective tissue” between M&A, Compliance, Tax, Privacy, Internal Audit, and Corporate legal teams to ensure a seamless integration of financial services.

  • Process Optimization: Develop and refine playbooks for financial services due diligence and post-close integration to ensure eBay remains agile and “deal-ready.”

  • Expert Communication: Distill complex regulatory concepts into clear, executive-level summaries that drive decision-making for business leaders.

Qualifications:

Basic Requirements

  • J.D. degree (or foreign equivalent) and membership in at least one US state bar or a Canadian provincial law society.

  • 6+ years of legal experience in payments and financial services law, preferably within a high-growth fintech, a global marketplace, or a top-tier law practice specializing in financial technology. 

Technical Legal Expertise

  • US Payments Mastery: Deep, “hands-on” experience with US State & Federal Money Transmission Laws (MTL), Regulation E (EFTA), and the Bank Secrecy Act (BSA)/AML regulations.

  • Financial Product Knowledge: Proven track record advising on Stored Value/Prepaid Access and Card Network Rules. Experience with embedded insurance or warranty products in an e-commerce context is a significant plus.

  • Canadian Regulatory Fluency: Experience with or a sophisticated understanding of the Retail Payment Activities Act (RPAA) and FINTRAC requirements is highly prioritized.

Additional Details

The base pay range for this position is expected in the range below:

$111,200 - $190,100

Base pay offered may vary depending on multiple individualized factors, including location, skills, and experience. The total compensation package for this position may also include other elements, including a target bonus and restricted stock units (as applicable) in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as PTO and parental leave). Details of participation in these benefit plans will be provided if an employee receives an offer of employment.

If hired, employees will be in an “at-will position” and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
