Job description

ABOUT THE ROLE:
Valsoft has acquired more than 150 vertical market software businesses and is still growing, helping each one deliver best-in-class, mission-critical solutions to its industry. We invest in well-established companies for the long term and partner with their existing management, building an entrepreneurial environment that helps each business become a leader in its market.

We’re looking for a lawyer who wants to be in the thick of it. You’ll be the in-house counsel for three of our portfolios: two acquisitive groups that buy and scale established software companies, and Valsoft Ventures, our startup portfolio. One day you’re negotiating a SaaS contract or a vendor deal, the next you’re advising on an employment issue, protecting IP, or cleaning up corporate records, and when an acquisition lands, you’re making the integration stick. If you like variety, want to sit close to the business, and would rather solve the problem in front of you than write a memo about it, this is your role.

KEY RESPONSIBILITIES:

Commercial & contracts

  • Draft, review, and negotiate the agreements that keep the businesses running: software licensing, SaaS, customer, vendor, and partnership agreements
  • Build practical templates and playbooks so business teams can move quickly with less legal friction
  • Advise on technology and AI licensing questions as they come up

Day-to-day operational support

  • Act as the first call for portfolio company leaders on a wide range of legal questions
  • Support employment matters and HR initiatives, including policies, contracts, and workplace issues
  • Manage IP matters, including software licensing, ownership, and protection
  • Spot legal risk early and work with business teams on sensible, proportionate fixes

Corporate & compliance

  • Maintain corporate records and keep corporate formalities and governance current across entities
  • Provide guidance on regulatory compliance in U.S. and international operations
  • Coordinate with outside counsel and international stakeholders on multi-jurisdictional issues
  • Assist with post-close integration from a legal and operational standpoint

QUALIFICATIONS:

  • J.D. from an accredited law school, admitted and in good standing in at least one U.S. state
  • 4+ years of legal practice (experience at a law firm and then in-house operational work is an asset)
  • Strong drafting and negotiation skills on commercial and technology agreements
  • Experience with technology, software, and AI licensing agreements, and a solid understanding of SaaS business models
  • Experience handling employment law and HR-related legal matters
  • Working knowledge of commercial contracts, IP, and corporate governance
  • Sound, practical judgment: you give the business a clear answer and a path forward
  • Comfort juggling many matters and stakeholders at once, often across different companies
  • Clear communication with non-lawyers
  • Legal authorization to work in the United States

PERSONAL CHARACTERISTICS:

  • Prefers breadth over specialization and a different problem every day
  • Self-starter who works independently while collaborating closely with teams
  • Organized and detail-oriented, without getting stuck on perfection
  • Energized by an entrepreneurial, high-growth environment

COMPENSATION AND BENEFITS:

  • Comprehensive health benefits, including medical, dental, vision, basic life, AD&D, LTD, STD, EAP, FSA, critical illness, accident insurance, and hospital indemnity insurance
  • 401(k) plan
  • Unlimited vacation
  • Opportunities for growth and career development
  • Be a part of an entrepreneurial culture, where your innovative ideas and fresh perspectives are valued and can make a real impact on our business

We thank all applicants for their interest; however, only those candidates selected for an interview will be contacted.
