Job description

For our Group Strategy & Development / M&A, we are looking for a Director M&A Execution (f/m/d). This position is located in Heidelberg, Germany and will report to the Senior Vice President Group Strategy & Development / M&A.

As part of a small team that advises CEO, CFO & the whole Managing Board on strategy and manages development & M&A initiatives, the Director M&A Execution will take responsibility for the Group’s M&A process and governance, and manage the portfolio of M&A projects end-to-end. The role will allow to make a significant contribution to some of the Group’s most important projects.


The ideal candidate is a highly motivated and proactive team player who loves working in a high intensity environment (willing to get his/her hands dirty and play whatever role the team needs), has an outstanding level of curiosity and very strong analytical skills to grasp quickly the fond of complex strategic issues, while always aiming to make a significant contribution.


YOUR NEXT CHALLENGE


  • M&A Transaction Leadership
    • Lead and manage the Group's portfolio of M&A projects globally, including acquisitions, divestments, joint ventures, minority investments, and strategic partnerships
    • Drive transactions end-to-end from initiation, initial assessment through signing and closing
    • Coordinate commercial, financial, operational, tax, legal, ESG, and strategic due diligence processes
    • Develop transaction structures and evaluate strategic alternatives to maximize shareholder value
    • Lead negotiations with counterparties and external advisors

  • M&A Governance & Process Management
    • Own and continuously improve the Group-wide M&A governance and process framework including PMI
    • Maintain transaction reporting, pipeline tracking, and portfolio oversight mechanisms
    • Establish and monitor best practices for deal execution and post-transaction reviews
    • Support integration planning and governance processes in PMI
    • Drive continuous improvement of M&A execution capabilities across the organization

  • Investment reviews (both for CAPEX and M&A projects) for Board approval
    • Evaluate investment opportunities through strategic and financial assessment
    • Challenge business cases and key assumptions regarding market growth, pricing, synergies, integration costs, and value creation
    • Coordinate review with other group functions (e.g. financial, technical, environment) and liaise with responsible country management
    • Support strategic portfolio reviews and long-term capital allocation decisions
    • Assess risks and develop mitigation strategies for complex transactions
    • Prepare recommendations and decision materials for Senior Management and governance bodies
  • Conduct ad-hoc market or competitor analyses (incl. business intelligence)

YOUR PROFILE


  • University degree in business, finance, economics or engineering (or similar), potentially MBA or PhD level
  • 7 to 10 years of professional experience, incl. transaction advisory, investment banking, private equity and/or corporate M&A roles
  • Proven track record of successfully leading complex cross-border M&A transactions.
  • Strong understanding of corporate finance, valuation methodologies, deal structuring, and transaction processes.
  • Experience managing due diligence processes and coordinating multidisciplinary teams.
  • Proven ability to build effective working relationships at all levels of the organization and to manage, and work constructively within, diverse and cross-functional teams in various cultural contexts
  • Clear “getting-things-done” mentality, i.e. tenacity to overcome independently potential obstacles
  • Strong quantitative capabilities, very structured thinking, and proficiency in Excel / PowerPoint and AI tool usage
  • Executive level oral and written communication skills
  • Fluent in English, other languages a plus
