The Role

We’re hiring a Paralegal to support our Emerging Companies & Venture Capital (ECVC) practice—working directly with our attorneys on financings, formations, equity administration, and startup-side M&A for a growing roster of startup and investor clients. This is a hands-on execution role: you’ll own the corporate housekeeping and deal-support work that keeps our clients’ cap tables clean and their transactions moving, and you’ll use AI-native workflows to do it faster and more accurately than you could at a traditional firm.

The ideal candidate has real ECVC paralegal experience—venture financings, entity formation, and cap table/equity plan administration—and is comfortable working independently in a lean, fast-moving team with direct attorney and client contact.

What You’ll Do

Startup & Venture Financings

  • Support venture financings (priced rounds, SAFEs, convertible notes) from term sheet through closing, including drafting ancillary documents, preparing signature pages, and managing signature/closing logistics.
  • Incorporate and organize new entities—formation documents, bylaws/operating agreements, initial resolutions, and corporate records setup.
  • Implement and administer equity incentive plans and stock option grants, including board and stockholder approvals.
  • Maintain and update capitalization tables and equity records using platforms such as Carta or Shareworks; manage related cap table due diligence.
  • Handle corporate records management and general corporate housekeeping for clients on an ongoing basis (annual filings, franchise tax, registered agent matters, minute books).

Startup-Side M&A Support

  • Assist with diligence for acquisitions of early- and growth-stage companies, acqui-hires, and asset deals—organizing data rooms, tracking diligence requests, and flagging issues for attorney review.
  • Draft and manage signing and closing checklists, closing documents, and closing volumes.
  • Prepare board and stockholder resolutions and minutes in connection with financings, M&A, and other corporate actions.

Client & Attorney Support

  • Serve as a direct point of contact for founders and clients on routine document requests, closing logistics, and status updates.
  • Draft and revise standard agreements and templates under attorney direction.
  • Work directly with attorneys to scope and prioritize matters, and flag issues that need attorney judgment early.

Process & Tooling

  • Use and help refine AI-native workflows and playbooks to handle routine drafting, document assembly, and diligence work faster.
  • Identify recurring bottlenecks in deal or intake workflows and help build better process as the firm scales.

Who You Are

Background & Experience

  • 3+ years of corporate/transactional paralegal experience, with substantive ECVC experience: incorporations, venture financings, and cap table/equity plan administration.
  • Experience with capitalization management platforms such as Carta or Shareworks.
  • A four-year degree and/or a paralegal certificate from an ABA-approved program.
  • Experience in a law firm, legal tech, or in-house legal environment; startup or high-growth company exposure strongly preferred.
  • Solid working knowledge of NVCA-style financing documents, SAFEs, and convertible notes; exposure to startup-side M&A (asset deals, acqui-hires, company sales) is a plus.
  • Substantial experience with Excel spreadsheets and exemplary written communication and organizational skills.

Compensation & Benefits

  • Base Salary: $100,000–$120,000, commensurate with experience.
