Job description

Role Summary:

We are seeking a Corporate M&A Associate to support sophisticated private company merger and acquisition transactions. The ideal candidate will have hands-on experience drafting, reviewing and negotiating transaction documents, with particular expertise in Stock Purchase Agreements (SPAs) and Asset Purchase Agreements (APAs). This role is best suited for a candidate whose experience is primarily focused on private M&A transactions rather than public company deals.

Responsibilities and Duties:
  • Draft, review and negotiate transaction documents, including but not limited to: 
      1. Stock Purchase Agreements (SPAs) 
      2. Asset Purchase Agreements (APAs) 
      3. Letters of Intent (LOIs) 
      4. Confidentiality Agreements (NDAs) 
      5. Disclosure Schedules 
      6. Ancillary transaction documents  
  • Conduct legal due diligence and identify legal risks associated with acquisitions and divestitures.
  • Support all stages of private M&A transactions, from initial structuring through closing. 
  • Coordinate with internal stakeholders, clients and external counsel to facilitate transaction execution. 
  • Identify legal and commercial risks and recommend practical, business-oriented solutions. 
  • Manage multiple concurrent transactions while meeting tight deadlines. 
Required Skills/Abilities:
  • Strong understanding of corporate law principles and transaction structures. 
  • Excellent drafting, negotiation, analytical and communication skills. 
  • Ability to work independently while managing multiple priorities in a fast-paced environment. Ability to communicate effectively with senior business leaders and external stakeholders. 
Education and Experience:
  • J.D. (or equivalent law degree) and active license to practice law in at least one US jurisdiction.
  • Approximately 5+ years of strong experience supporting private M&A transactions
  • Demonstrated experience drafting and negotiating Stock Purchase Agreements (SPAs) and Asset Purchase Agreements (APAs)
  • Experience with mergers, acquisitions, divestitures, restructurings, and related corporate transactions.
