Responsibilities:

As a Senior Paralegal with Hines, you will drive corporate governance and regulatory compliance across AIFM and Hines entities, lead entity lifecycle activities, oversee board processes, and act as a key liaison between internal stakeholders and corporate administrators. Responsibilities include, but are not limited to: 

 

  • Oversee the full lifecycle of Luxembourg entities, from incorporation through to ongoing management and liquidation

  • Lead the preparation, drafting, and coordination of board, conducting officers, and committee meetings for AIFM and Hines entities

  • Manage board and committee processes across their full lifecycle, including evaluations

  • Ensure timely and accurate statutory and regulatory filings, including CSSF reporting (AIFM/ManCo)

  • Manage corporate administrators and monitor performance (KPIs)

  • Lead KYC processes across onboarding and periodic reviews, managing and coordinating responses to a wide range of external stakeholders, including banks, law firms, accounting firms, service providers, brokers, and commercial partners

  • Maintain accurate entity structure charts and ensure data integrity across systems

  • Develop and maintain governance and KYC procedures

  • Collaborate with internal stakeholders and provide corporate secretarial support

  • Contribute to legal projects, process improvements, and operational initiatives

Qualifications:

Minimum Requirements include: 

 

  • Bachelor’s degree in law, legal studies, or a related field, or equivalent qualification, with significant experience in a corporate or legal environment
  • 7+ years of relevant experience in a corporate or legal environment, ideally gained within a corporate administrator or investment management firm in Luxembourg
  • Strong knowledge of corporate governance, company law, and regulatory frameworks in Luxembourg

  • Excellent drafting and organizational skills, with high attention to detail

  • Strong stakeholder management and communication skills, with the ability to interact with senior internal and external parties

  • Fluent in English, both written and spoken

  • Office-based position in Luxembourg, with limited flexibility for remote working
