Job Summary
Targray is seeking a Senior Legal Counsel, Energy & Environmental Markets to lead complex commercial contracting across key energy transition markets, including Renewable Natural Gas, biofuels and feedstocks, and environmental credits. This is a hands-on, business-facing legal role embedded with Targray’s commercial teams. The successful candidate will work directly with traders, business development, finance, risk, operations, and senior leadership to draft, negotiate, and structure high-value commercial transactions ranging from approximately $10 million to $100 million. The ideal candidate is a strong commercial lawyer with experience in energy, commodities, trading, environmental markets, or other regulated commercial sectors. This role is best suited to someone who enjoys drafting and negotiating complex agreements, working closely with business teams, and helping build practical contractual frameworks for new and evolving markets. This role also includes day-to-day leadership of a small legal team, while remaining highly involved in contract drafting, negotiation, and transaction execution. This is a remote role, that will require semi-regular travel to Montreal as required.
Responsibilities
Commercial Contracting and Transaction Support
Draft, review, negotiate, and finalize complex commercial agreements across Renewable Natural Gas, biofuels, feedstocks, environmental credits, and other energy transition products.
Lead negotiations on high-value commodity, trading, supply, offtake, and structured transactions.
Work closely with commercial teams to structure practical, bankable, and enforceable deal terms.
Advise on key contractual provisions, including delivery obligations, performance standards, product specifications, transfer mechanics, title and risk transfer, credit support, representations and warranties, remedies, limitation of liability, indemnities, force majeure, termination, governing law, dispute resolution, audit rights, verification rights, and compliance-related provisions.
Support first-of-kind and emerging-market transactions where regulatory interpretation, commercial design, and contract structure need to be developed together.
Provide clear, practical guidance on legal and commercial risk while supporting efficient business execution.
Market and Product Support
Support legal documentation and transaction frameworks for Renewable Natural Gas agreements, including purchase, sale, supply, offtake, environmental attributes, delivery obligations, credit support, confirmations, and NAESB-based documentation.
Support commercial agreements involving biodiesel, renewable diesel, renewable fuel feedstocks, supply arrangements, offtake structures, pricing, delivery, specifications, quality, logistics, and related risk allocation.
Support transactions involving environmental commodities, emissions credits, renewable fuel credits, and compliance-driven credit programs in Canada, the United States, Europe, and other relevant jurisdictions.
Advise on commercial documentation connected to Clean Fuel Regulations, compliance carbon markets, renewable fuel credit systems, FuelEU Maritime, and other emerging environmental programs.
Contract Frameworks and Legal Enablement
Build and improve scalable contracting frameworks, including templates, clause libraries, fallback positions, playbooks, and negotiation guidance.
Help reduce contracting friction while maintaining strong legal and risk standards.
Support new product development and new market entry by creating appropriate legal documentation and transaction frameworks.
Translate evolving regulatory and market requirements into practical contract language and business guidance.
Legal Team Leadership and General Legal Oversight
Provide hands-on leadership to a small legal team supporting commercial contracts, compliance, governance, and related legal matters.
Coach team members on drafting, negotiation, prioritization, and commercial risk analysis.
Help set practical service standards, escalation pathways, and review processes for legal support.
Support compliance matters relevant to Targray’s business, including sanctions, trade compliance, authorization controls, and internal policies.
Advise on legal and regulatory issues connected to new markets, new jurisdictions, and emerging environmental programs.
Provide practical oversight of corporate governance, legal entity management, board or entity approvals, and corporate documentation.
Support banking, financing, corporate matters, disputes, claims, litigation, arbitration, and outside counsel management as needed.

Practical, business-oriented judgment and comfort operating in a fast-moving commercial environment.
Strong written English drafting skills, given the nature of Targray’s counterparties and business outside Quebec.
Assets
Experience with Renewable Natural Gas agreements, including NAESB-based natural gas contracts.
Experience with biofuels, renewable diesel, biodiesel, renewable fuel feedstocks, or related physical commodity transactions.
Experience with environmental commodities, emissions credits, renewable fuel credits, or compliance carbon markets.
Familiarity with Clean Fuel Regulations or other renewable fuel / low-carbon fuel credit programs.
Familiarity with FuelEU Maritime or other emerging energy transition regulatory markets.
Experience with trading, offtake, supply, structured commodity transactions, credit support, guarantees, letters of credit, confirmations, or master agreements.
In-house legal experience supporting a trading, commodities, energy, renewable fuels, environmental markets, or regulated commercial business.
Prior experience mentoring lawyers or legal professionals.
Experience leading or coordinating a small legal team.
Experience with sanctions, trade compliance, or regulated cross-border transactions.
Experience managing outside counsel.
French language proficiency would be considered as an asset.
