Job description

Role Summary:

Integreon is seeking an experienced attorney or legal professional to support commercial contracting function for a leading distributor of construction and industrial supplies. This is a dedicated role requiring a self-sufficient, confident, and business-minded individual who can independently manage assigned contract matters from intake through completion.

The Associate will be responsible for drafting, reviewing, redlining, and negotiating a variety of commercial agreements, including NDAs, SOWs, work orders, customer agreements, vendor agreements, procurement agreements, and related business contracts. The successful candidate must be comfortable exercising sound judgment, identifying and escalating material risks when appropriate, and making practical, business-focused decisions in a fast-paced environment.

This role requires strong contract review and negotiation experience, excellent communication skills, and the ability to work directly with in-house counsel and business stakeholders with limited day-to-day oversight. The ideal candidate will be comfortable managing workflow independently, prioritizing competing requests, and delivering high-quality work product in alignment with client standards, templates, and playbooks.

Responsibilities and Duties:

· Draft, review, redline, and negotiate a variety of commercial contracts, including NDAs, SOWs, work orders, customer agreements, vendor agreements, procurement agreements, and related business contracts.
· Independently manage assigned contract matters from intake through completion, ensuring timely, accurate, and high-quality delivery.
· Review contract terms for alignment with applicable legal standards, client requirements, business expectations, and approved templates, playbooks, or guidance.
· Identify legal, commercial, operational, and process risks, and escalate material issues when appropriate based on established guidance and sound professional judgment.
· Provide practical, business-focused recommendations to in-house counsel and business stakeholders.
· Communicate directly and professionally with internal and client stakeholders regarding contract status, open issues, negotiation positions, and next steps.
· Manage a fast-paced workflow while maintaining attention to detail, responsiveness, and quality.
· Apply best judgment to resolve routine and moderately complex contract issues without unnecessary escalation.
· Support quality control by ensuring work product is accurate, consistent, and aligned with client expectations.
· Assist with updates to templates, playbooks, SOPs, and process documentation as needed.
· Track matter status, priorities, turnaround times, and key open issues to support effective workflow management and reporting.
· Collaborate with Integreon leadership and stakeholders to ensure legal support is delivered efficiently, consistently, and in accordance with service expectations.

Required Skills/Abilities:

· Strong commercial contracting experience, including experience with NDAs, SOWs, work orders, customer agreements, vendor agreements, procurement agreements, and related business contracts.
· Strong drafting, redlining, contract review, and negotiation skills.
· Ability to work independently in a dedicated, one-person role with limited day-to-day supervision.
· Confidence exercising legal and business judgment, including knowing when to resolve issues independently and when to escalate.
· Ability to manage multiple active matters, competing priorities, and time-sensitive requests.
· Strong issue-spotting skills and ability to assess legal and commercial risk.
· Excellent written and verbal communication skills.
· Comfortable working directly with in-house counsel, business stakeholders, and cross-functional teams.
· Ability to follow templates, playbooks, and client guidance while applying practical judgment to real-world contract issues.
· Prior in-house, managed services, ALSP, or law firm experience preferred.
· Experience supporting construction, distribution, procurement, supply chain, or industrial/commercial services clients is a plus.
· Comfortable working remotely; availability to cover Central Time business hours required.

Education and Experience:
  • JD from accredited law school is required
  • Bar admission to any state
  • Minimum 5 years of contracts negotiation with solid drafting experience.
