Job Description:
We are seeking an experienced Mergers & Acquisitions (M&A) Lawyer with a strong foundation in Australian corporate and transactional law. The ideal candidate will have demonstrated success advising clients on highvalue transactions and navigating the complexities of due diligence, deal structuring, negotiations, and postmerger integration. Prior experience in crossborder transactions or working within outsourced legal teams will be highly regarded.


Responsibilities:
  • Advise clients on M&A transactions including structuring, due diligence, contract drafting, negotiations, and regulatory compliance.

  • Draft and review transactional documents such as share purchase agreements, asset purchase agreements, shareholder agreements, and NDAs.

  • Conduct and coordinate legal due diligence processes, identifying legal risks and advising on mitigation strategies.

  • Support clients through all phases of M&A, including postmerger integration.

  • Liaise with tax, financial, and operational consultants to ensure smooth transaction execution.

  • Stay informed on changes in Australian corporate law, particularly those affecting M&A activity.

  • Collaborate with internal and clientside legal and corporate teams across time zones.






    • Requirements

      • Undergraduate degree in Law and qualification to practice law is mandatory; Australian legal education or direct experience working with Australian M&A matters is strongly preferred.

      • A minimum of 5 years of handson experience with mergers, acquisitions, joint ventures, and related corporate transactions.

      • Expertise in Australian corporate law, M&A processes, and regulatory requirements.

      • Excellent drafting, negotiation, and analytical skills.

      • Strong communication and project management abilities, especially in virtual and crossfunctional environments.

      • Prior experience in crossborder M&A or remote legal support settings is a plus.
