Job description

Join Clearwater's Legal Team as we continue to grow and transform the investment accounting and reporting industry. We're seeking an experienced attorney with a focus in Securities, Corporate, and Employment law to join our dynamic team. The ideal candidate will have significant experience with SEC, NYSE, and DE requirements and filings, governance and board matters, as well as employment law. Based in Washington D.C., you'll work directly with our Chief Legal Officer to navigate complex matters, solve problems, and collaborate with executive management. Your ability to operate independently while supporting our growing global business is essential. This role is based from Tysons Corner.

What You’ll Do:

  • Work closely with the CLO and finance group to assist in the preparation of 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 Reports, and other SEC-related documents
  • Assist with planning and executing the Annual Meeting of Stockholders
  • Work closely with senior leadership and investor relations regarding disclosure matters and NYSE, SEC and corporate law requirements, including Reg FD
  • Assist with public company communications, including press releases and investor presentations
  • Assist with administering the Insider Trading Policy, 10b5-1 plans, and related employee and director equity matters
  • Support the Treasury function, including advice on compliance with debt covenants
  • Support public company secretarial function, including assisting with the preparation of Board and committee materials
  • Support Internal Audit with SOX compliance matters
  • Stay current on governance trends and best practices, SEC and NYSE developments
  • Advise on capital markets transactions
  • Assist with subsidiary and affiliate entity management
  • Support M&A and other expansion activity
  • Work closely with leaders of Clearwater’s HR team to shape employee related polices
  • Exercise good judgment working with internal partners across the business on sensitive employment matters, advising a global team on local laws and considerations
  • Draft, review, manage, negotiate, and enforce a variety of corporate and HR policies, procedures, and agreements
  • Guide the integration of the employees of recently acquired companies through the drafting of new employment agreements and integrated policies and through trainings
  • Proactively assess legal risks and advise on compliance matters, while developing and implementing compliance processes
  • Remain up-to-date on legal compliance matters including, corporate compliance and Human Resources best practices and act as subject-matter expert
  • Identify, research, analyze, and advise teams on a range of relevant legal issues; and become a trusted resource for the business
  • Communicate complex legal concepts in simple terms.

Who We Need:

  • 5+ years relevant SEC reporting and securities law compliance experience
  • 3+ years law firm experience
  • 2+ years in-house experience with corporate law and employment matters
  • Admitted to practice in at least one U.S. State, with the ability to register as In-House Counsel in the area of the Clearwater office where you will be located
  • Juris doctorate from a reputable law school
  • Strong communication and writing skills, with the ability to interact with C-level executives, both internally and externally as well as Boards of Directors
  • Analytical-minded with a creative problem-solving approach
  • Strong business acumen and ability to quickly exercise good business judgment
  • Excellent responsiveness and attention to detail
  • Ability to thrive in a fast-paced, ever-changing environment
  • Excellent interpersonal skills
  • Background in technology or capital markets is a plus
