Position Summary:
We are seeking an experienced General Counsel to oversee and manage all legal aspects of our operations globally. Reporting directly to the CEO and working closely with our senior leadership team, our General Counsel will be instrumental in guiding the company through an important stage of growth and development. There are a number of key challenges listed below but as a high level overview, we’re seeking regulatory, contractual, and compliance-related expertise. We’d also value a deep understanding of complex technologies, businesses including intellectual property law, data privacy, and international business, as well as demonstrated experience leading legal strategy in a fast-paced environment.
Responsibilities
Key Responsibilities:
Legal Strategy & Compliance: Develop and implement legal strategies that support our business goals, while ensuring compliance with U.S. federal and state laws, as well as international regulations. Establish a new business entity in the U.S. and transition our Headquarters location from Europe to the U.S.
People Management: Provide leadership and guidance to our existing legal counsels (based in Europe).
Contract Management: Oversee and key contracts, including client, vendor, partnership, and licensing agreements, often involving enterprise level businesses.
Risk Management: Identify, assess, and mitigate potential legal risks associated with business operations, advising on liability and protecting the company from undue exposure.
Corporate Governance: Support executive leadership in corporate governance, including board meetings, shareholder agreements and new investor negotiations.
Data Privacy and Security Compliance: Act as a point person for data privacy issues, ensuring that Toloka.ai complies with applicable privacy laws and regulations in cooperation with our Security/Privacy team.
IP Strategy: Oversee intellectual property management, ensure they are legally safeguarded.
Employment & Labor Law: Provide guidance on employment and labor law matters, including employee agreements, compensation, benefits, and internal policies.
Requirements
Requirements:
Juris Doctorate/LLB with license to practice in the United States,
Extensive previous experience in a Senior Legal, Associate General Counsel, or very similar role, ideally with experience in a tech start-up/scale-up environment.
Expertise in commercial law, contracting, employment law, and data privacy.
Experience with intellectual property law
Experience representing a company with high level stakeholders (investors, enterprise clients etc),
A proactive approach to identifying and addressing legal needs and providing guidance to the business.
The ability to manage both company-wide and individual requirements effectively.
Able to demonstrate a good approach to assessing and managing risk
A commitment to ethical standards and transparency in all dealings.
