Do you consider being detail-oriented, organized, and a great communicator some of your greatest skills?  Does working for a growing legal department with the opportunity for administrative and organizational control excite you?  If yes, we believe you would be an outstanding fit as a corporate paralegal in a brand new role on our growing in-house legal team.

 

As a Corporate Paralegal in our in-house legal department, you would be the primary support to a team of four attorneys, including the firm’s General Counsel. Your responsibilities would include:

  • Supporting our lead M&A internal counsel in the firm’s M&A efforts, including:
    • conducting and reporting on due diligence, including participating in meetings to discuss findings
    • coordinating with various firm departments to carry out M&A transaction processes
    • reviewing certain M&A transaction documentation in conjunction with the firm’s internal and outside counsel
    • updating the firm’s books, records, and registrations resulting from M&A activity
    • tracking post-closing M&A obligations
  • General administrative support on all of the firm’s legal matters, including maintaining and organizing the firm’s legal records and corporate organizational chart
  • Supporting contract review, coordinating contract execution, and managing the firm’s contracts using AI-powered contract management software
  • Completing forms and filing documents with legal information about the firm, including leading the application process and any updates for the firm’s commercial insurance program
  • Carrying out filings related to the firm’s corporate entities and registrations
  • Learning the firm’s service offerings and navigating its standard agreement forms
  • Communicating with outside providers as needed, including with vendors, landlords, and outside legal counsel
  • Working with the members of the legal team on day-to-day ad hoc tasks, special projects and new initiatives
  • The position will be a combination of working remotely and in office (2-3 days per week)

Ideal Candidate Profile:

  • Experience working as a corporate paralegal and understanding of basic legal concepts is required. 5+ years of experience and notary public licensing preferred.
  • Proficient in Microsoft Word (e.g. formatting, track changes), Microsoft Excel, and Adobe.
  • Experience as administrative support - your exceptional drive, organization, resourcefulness, and project management skills set you apart from your peers
  • Team player who shows strong initiative, leaves their ego at the door and welcomes feedback with the goal of improvement
  • Detail-oriented and conscientious with strong verbal and written communication skills and ability to exercise excellent judgment
  • Attitude that no task is too small and comfortable working without heavy supervision
