Job Description Summary:

About Rocket Software:

Rocket Software empowers organizations around the world to solve their most complex IT challenges. Our Legal team serves as a trusted business partner, enabling growth while managing risk across our global organization. We are seeking a business-minded Senior Legal Counsel to support our Americas sales organization, lead significant commercial matters, and provide practical, strategic legal guidance to internal stakeholders, customers, partners, and vendors.

This role directly supports revenue-generating activities for the Americas sales organization and will independently manage significant customer transactions from initial structuring through negotiation, escalation, and execution.

This role is ideal for an attorney who thrives in a fast-paced technology environment, enjoys partnering closely with go-to-market teams, and can balance commercial objectives with sound legal judgment.

Position Summary:

As Senior Legal Counsel, you will independently support revenue-generating activities for Rocket Software's Americas business by providing proactive, business-focused legal guidance throughout the customer lifecycle. You will work closely with Sales, Channel Partners, Product, Finance, Procurement, Information Security, Privacy, and executive stakeholders to structure, negotiate, and close complex commercial transactions, exercising sound judgment on when to resolve matters independently and when to escalate material risks.

In this role, you will serve as the primary legal partner on assigned business matters, independently advise on deals and issues arising in existing commercial relationships, and provide clear, risk-based recommendations to management and business teams. You will also advise on applicable laws and regulations and lead or materially contribute to new business processes within the business and risk areas.

The successful candidate will operate with a high degree of independence, take ownership of matters through completion, serve as a trusted advisor to business leaders, and help drive scalable legal processes that support Rocket's continued growth. The role requires the ability to work effectively from established templates and playbooks, identify when tailored language is appropriate, and create new templates, clauses, and guidance for emerging or recurring business needs.

Key Responsibilities:

  • Independently draft, review, negotiate, and manage a broad range of complex commercial agreements, including software licensing, SaaS, cloud services, reseller and partner agreements, professional services agreements, NDAs, procurement contracts, statements of work, and strategic enterprise transactions.
  • Serve as the lead legal advisor on assigned customer, partner, and vendor negotiations, providing practical, risk-based guidance, resolving issues independently within established parameters, and escalating material or novel risks with a recommended course of action.
  • Partner closely with Sales and go-to-market leaders on deal strategy, contract escalations, and complex commercial matters, including leading negotiations and coordinating cross-functional input through execution.
  • Advise internal stakeholders on legal, regulatory, and contractual issues related to technology transactions.
  • Structure creative commercial solutions that accelerate business outcomes while maintaining compliance with company policies and applicable laws.
  • Develop a thorough understanding of Rocket Software's products, business strategy, and customer environment to provide effective legal support.
  • Collaborate cross-functionally with Finance, Security, Privacy, Product Management, Procurement, and Compliance teams.
  • Ensure compliance with relevant laws and regulations, including data protection, anti-corruption, export controls, and software licensing requirements.
  • Monitor legal and regulatory developments affecting Rocket's business and recommend appropriate actions.
  • Use established contract templates, clauses, negotiation playbooks, and approval frameworks effectively; adapt them to the facts and risk profile of a transaction; and develop new templates, fallback language, legal guidance, and scalable contracting processes where business or legal needs are not adequately addressed by existing materials.
  • Support corporate governance initiatives and other strategic projects as needed.
  • Leverage technology and AI-enabled tools to improve legal operations, efficiency, and service delivery.

Qualifications:

Required:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Licensed and in good standing to practice law in at least one U.S. jurisdiction.
  • A minimum of 5 years of relevant legal experience, including substantial in-house experience focused on complex commercial transactions and software licensing.
  • Experience drafting, reviewing, and negotiating complex technology-related agreements.
  • Experience supporting software, SaaS, cloud computing, or other technology businesses.
  • Knowledge of software licensing, data privacy, export controls, and anti-corruption laws.
  • Strong business and legal judgment, with demonstrated ability to independently assess risk, make decisions within established authority, and clearly articulate practical recommendations to business and executive stakeholders.
  • Excellent written, verbal, negotiation, and interpersonal communication skills.
  • Demonstrated ability to independently manage a substantial workload, prioritize competing demands, and drive matters to timely completion in a fast-paced environment with limited day-to-day supervision.
  • Demonstrated ability to build effective relationships with business stakeholders and customers.

Preferred:

  • Experience supporting enterprise software, SaaS, cloud, AI, cybersecurity, or data-driven technology companies.
  • Experience negotiating reseller, distributor, channel partner, and strategic alliance agreements.
  • Experience providing real-time support to U.S. and Canadian sales teams, international transactions and global commercial contracting.
  • Familiarity with privacy, information security, AI-related contracting, and enterprise procurement requirements.
  • Experience working from established legal templates and playbooks and independently creating or materially improving templates, clauses, guidance, and legal operations processes.

What Makes You Successful:

  • Business-minded attorney who focuses on enabling growth while appropriately managing risk.
  • Strong collaborator who builds trust and credibility across legal and business teams.
  • Skilled negotiator who can navigate complex transactions and competing priorities.
  • Self-starter who thrives with autonomy and takes ownership of outcomes.
  • Practical problem solver who translates complex legal concepts into actionable business guidance.
  • High integrity, sound judgment, and commitment to client service.

Why Join Rocket Software:
