Lynx Software Technologies

Embedded Systems & IoT Software

For over thirty years, Lynx Software Technologies has helped customers with some of the most demanding, mission critical, system requirements to create, certify, and deploy equipment, above, on and below the surface of the earth.. Lynx for the Internet of Things (IoT): As billions of ‘things’ are connected to the internet, a new paradigm of security is required. Lynx offers real-time military-grade security products to protect the edge, the gateway and cloud devices while protecting any sensitive data as it traverses the IoT. Key Markets: Automotive, Industrial, Factory Automation, Medical and Transportation. Our LYNX MOSA.ic software framework and LynxSecure separation kernel hypervisor provide a secure foundation for this new generation of connected platforms. Lynx for Enterprise Cyber Security: To fight modern day malicious threats, security needs to be built-in rather than implemented as an afterthought. Lynx offers isolation technology that can be implemented in endpoint and cloud deployments to separate and protect critical enterprise infrastructure. This isolation technology separates sensitive information from the key attack points and denies infiltration and exfiltration attempts. Lynx for Aerospace & Defense: Lynx provides certified avionics RTOS solutions based on open standards such as POSIX, ARINC and FACE that allow reusability of certified code and systems. The FAA Reusable Software Component (RSC) has been issued to LynxOS-178. The LynxOS 7.0 RTOS and LynxSecure separation kernel technologies were designed to provide the highest levels of security without compromising performance and real-time determinism.

Role Summary

We are seeking an experienced, business-minded Contracts Manager to support a growing technology company delivering software, SaaS, and professional services, primarily in the aerospace and defense industry.

The Contracts Manager will own and coordinate the contract lifecycle—from initial review and negotiation through execution, administration, renewal, and closeout. This role will work closely with Sales, Finance, Operations, Engineering, and executive leadership to help the company close business efficiently while appropriately managing legal and commercial risk. The Contracts Manager will act as the primary liaison between customers and the legal team.

The ideal candidate is comfortable working independently in a fast-paced technology environment, can negotiate directly with sophisticated customers and vendors, and knows how to distinguish issues that require escalation from those that can be resolved using established company playbooks and sound business judgment.

What Success Looks Like

Within this role, success means becoming a trusted partner to both the Legal team and the business. You will help the company close agreements efficiently, establish scalable contracting practices, improve visibility into contractual commitments, and ensure that material risks receive the right level of review.

You will balance speed, commercial practicality, and risk management—finding workable solutions rather than simply identifying problems.

Key Responsibilities

  • Manage the end-to-end contracting process for customer, partner, vendor, and other commercial agreements.
  • Draft, review, negotiate, and administer agreements including:
    • SaaS and software license agreements
    • Master Services Agreements (MSAs)
    • Statements of Work (SOWs)
    • Professional services agreements
    • Non-Disclosure Agreements (NDAs)
    • Vendor and procurement agreements
    • Partner, reseller, and subcontractor agreements
    • Amendments, renewals, and order forms
  • Serve as a primary point of contact for contract negotiations with customers, vendors, partners, and their legal and procurement teams.
  • Review proposed contract terms and identify legal, commercial, operational, financial, security, and compliance risks.
  • Negotiate provisions involving intellectual property, licensing, warranties, indemnification, limitation of liability, confidentiality, data protection, insurance, payment terms, termination rights, service levels, and related commercial matters.
  • Partner closely with Sales to facilitate timely contract execution and support revenue objectives without compromising appropriate risk controls.
  • Coordinate with Finance, IT, Engineering, Operations, and other internal stakeholders when negotiating agreements.
  • Escalate significant or non-standard legal issues to the Director of Legal Operations as appropriate.
  • Maintain contract templates, playbooks, clause libraries, approval matrices, and negotiation guidelines.
  • Manage executed agreements and key contractual obligations, including renewal dates, notice periods, pricing commitments, reporting requirements, and other milestones.
