Job description

This is a remote position.

Role Summary 

We are looking for a Contract Specialist to join our fast-paced Compliance team. In this role, you will be the frontline defender and facilitator of commercial relationships, focusing heavily on Software as a Service (SaaS) agreements within the Construction Technology (ConTech) space.

You will not just be processing paperwork; you will actively read, redline, and negotiate agreements, acting as the primary bridge between Evercam internal teams and our customers' legal departments. If you thrive under pressure, know how to spot a risky indemnity and IP clause from a mile away, and understand the unique dynamics of the construction sector, we want you on our team!

Key Responsibilities

  • End-to-End Contract Management: Draft, review, redline, and manage commercial agreements, specifically focusing on NDAs, MSAs (Master Service Agreements), EAs (Enterprise Agreements), SOWs (Statements of Work), Vendor Agreements, and Subcontractor Agreements.

  • Risk Mitigation: Proactively review contracts to identify problematic, non-standard, or high-risk clauses (e.g., liability caps, indemnification, data privacy, and Intellectual Property rights) and propose commercially viable alternatives.

  • Direct Negotiation: Communicate directly with customers' legal counsel and procurement teams to resolve bottlenecks and help close deals efficiently.

  • SaaS & ConTech Alignment: Apply knowledge of SaaS licensing models and internal operational company guidelines to ensure contracts are fit for purpose and protect Evercam proprietary technology.

  • Contract Lifecycle & Compliance Management: Manage contracts throughout their lifecycle, including execution, renewals, amendments, expiries, and terminations; track key contractual obligations, deadlines, insurances, and compliance requirements, and ensure appropriate internal stakeholders are informed of and able to meet ongoing contractual commitments.

  • Cross-Functional Collaboration: Partner closely with internal departments and Managing Directors to verify commercial strategies and align operational positions during contract negotiations.

  • Administrative & Coordination Support: Manage incoming inquiries and general compliance inbox communications. Coordinate customer insurance requirements, documentation, and pre-qualification as needed. 



Requirements

  • LATAM based.

  • 2+ years of contract administration, legal operations, or paralegal experience, with hands-on experience drafting and negotiating SaaS contracts.

  • Ability to read dense legal language, spot risks, and understand the practical business implications of specific clauses.

  • Excellent verbal and written negotiation skills. 

  • Experience working with US-based entities and understanding US commercial contracting standards is highly preferred.

  • A strong understanding of the construction sector and ConTech. 

  • Must be able to work standard US Eastern Standard Time (EST) business hours.

  • Full professional/bilingual fluency in English (both written and spoken) is required.
