As Senior Director, Corporate Counsel, you’ll oversee 1Password’s Corporate Legal function and provide strategic legal guidance across a broad range of matters. Reporting to the VP, Legal & General Counsel, you’ll play a key role in supporting 1Password’s growth, M&A activity, international expansion, financing activities and corporate and subsidiary governance. This role also oversees compliance, equity, litigation, intellectual property and marketing matters.

You’ll partner closely with leaders across Finance, Marketing, People, Corporate Development and other business functions. This role requires a pragmatic, business-minded lawyer who can operate effectively in a fast-paced environment, manage complex projects, and provide clear advice on matters involving multiple stakeholders and jurisdictions.

This is a remote opportunity within the United States and Canada.

How we’re using AI today

On the Legal team, AI helps us move faster without sacrificing quality. We use it to draft and review commercial agreements, implement negotiation playbooks, and prepare the groundwork for legal review. AI also helps us stay on top of regulatory developments, synthesize research across jurisdictions, and identify risks in novel situations like new product launches or partnership structures. The result is a team that can operate at higher volume with greater consistency, while creating more time for the judgment calls, collaboration, and meaningful decisions that matter most.

What we're looking for:

• Juris Doctor with active bar membership in Canada or the United States and at least 10 years of relevant experience, including time at a nationally recognized law firm and ideally a mix of late-stage private and public company work. Experience in technology or SaaS is preferred.

• Experience leading or supporting mergers and acquisitions, including due diligence, negotiations, transaction documentation, and post-closing integration.

• Strong knowledge of corporate governance, securities laws, entity management and experience preparing for or managing public company compliance.

• Experience advising on international expansion, including subsidiary formation and regulatory requirements across multiple jurisdictions.

• Experience supporting financing transactions and related securities law compliance.

• Ability to identify legal and business risks, develop practical mitigation strategies, and communicate recommendations clearly to senior stakeholders.

• Experience managing external counsel and coordinating cross-functional teams on complex legal matters.

• Excellent judgment, written and verbal communication skills, and attention to detail.

• A practical, collaborative, and solutions-oriented approach to legal work.

• Ability to manage competing priorities independently while maintaining a high standard of execution.

What you can expect:

• Lead the legal workstreams for mergers and acquisitions, including due diligence, negotiations, drafting and reviewing transaction documents, and coordinating with external advisors and internal stakeholders.

• Advise on legal considerations and regulatory requirements related to international operations and expansion.

• Oversee corporate entities, corporate records, and related governance processes, including the incorporation and ongoing management of global subsidiaries

• Provide guidance on corporate governance matters, including developing and implementing corporate policies and procedures.

• Support Finance on a variety of matters, including insurance renewals, tax planning, financial statements, employee equity, commission plans, and other strategic projects.

• Review marketing materials and advise on applicable compliance requirements.

• Develop and deliver compliance training programs for employees on relevant legal and regulatory topics.

• Identify legal risks across the organization and develop strategies to mitigate those risks.

• Manage litigation and dispute resolution matters, including overseeing external counsel, developing case strategies, and supporting negotiations.

• Manage 1Password’s intellectual property portfolio, including trademarks, copyrights, and patents.

• Serve as a trusted legal partner to leaders across the business, balancing thoughtful risk management with the needs of a fast-moving company.

USA-based roles only: The annual base salary for this role is between $269,000 USD and $404,000 USD, plus immediate participation in 1Password's benefits program (health, dental, 401k and many others), utilization of our generous paid time off, an equity grant and, where applicable, participation in our incentive programs.

Canada-based roles only: The annual base salary for this role is between $234,000 CAD and $351,000 CAD, plus immediate participation in 1Password’s generous benefits program (health, dental, RRSP and many others), utilization of our generous paid time off, an equity grant and, where applicable, participation in our incentive programs.
