Wilson Sonsini has an exciting opportunity for an experienced Corporate Paralegal to work closely with attorneys in our San Francisco office. This role will play a key part in client relationships and managing transactions. The ideal candidate will be a self-starter with exceptional organizational skills who can manage a diverse range of responsibilities and thrive in a fast-paced environment. This position is available for a hybrid or fully remote work schedule.

Key Duties and Responsibilities:

  • Prepare and file entity formation documents, including certificates, amendments, qualifications, and dissolutions
  • Draft minutes, consents, notices, and waivers
  • Support attorneys with corporate transactions, including due diligence, document preparation, filings, closings, and post-closing matters
  • Communicate with clients, holders, directors, investors, and auditors
  • Review and organize due diligence materials
  • Conduct blue sky research and prepare required federal and state filings
  • Prepare and assist with EDGAR code applications and accounts
  • Process stock and option administration, including drafting agreements and preparing stock notices
  • Provide support for franchise taxes, annual reports, and reminders to clients
  • Manage capitalization processes and records in equity management platforms, including Rule 701 analysis
  • Maintain client and entity files, minute books, and corporate records

Job Requirements:

  • Bachelor’s Degree or Paralegal Certificate at accredited college or university
  • 4+ years of corporate paralegal experience at a law firm
  • Strong working knowledge of corporate tasks for entity management
  • Understanding of corporate governance matters and transactional work
  • Experience with securities and corporate laws
  • Experience in capitalization management platforms such as Carta, Pulley and Shareworks
  • Proficient with Excel spreadsheets
  • Detail-oriented and organized, with excellent analytical skills
  • Excellent communication and prioritization skills to manage projects simultaneously under deadline pressure

The primary location for this job posting is in San Francisco, but other locations may be listed. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate’s qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location. The anticipated pay range for this position is as follows:

San Francisco, and all other locations: $45.48 - $61.54 per hour.


The compensation for this position may include overtime and a discretionary year-end merit bonus based on performance. We offer a highly competitive salary and benefits package.
