We are looking for a seasoned Sr. In-House Legal Counsel to join Bizagi on a part-time basis. We are open to structuring this engagement as a W-2 employee or an independent contractor (1099), depending on the candidate's preference and circumstances.

This role will primarily support Bizagi's NORAM business, partnering closely with Sales, Customer Success, and other stakeholders to provide practical, business-oriented legal support across commercial transactions and day-to-day legal matters. Due to time-zone alignment, the successful candidate will serve as the primary legal resource for the NORAM region.

In addition, the role will provide coverage and support for EMEA as needed, including during periods of increased workload, employee absences, PTO coverage, or other business demands. The position will work closely with the General Counsel and other members of the Legal team to ensure consistent support across regions.

What You'll Do

Commercial Contracts and Sales Support

  • Review, draft, and negotiate commercial agreements supporting the NORAM business.
  • Provide overflow and backup support for EMEA commercial transactions during periods of increased demand, PTO coverage, or other resource constraints.
  • Collaborate with internal stakeholders and regional legal resources to ensure timely support across jurisdictions.
  • Draft and negotiate NDAs, Supplier Agreements, Intercompany Agreements, and Partnership Agreements
  • Balance legal risk with commercial objectives to support deal closure

Privacy and Data Protection

  • Advise on compliance with GDPR (EU and UK), CCPA, and other applicable data protection regulations
  • Support development and maintenance of privacy policies and procedures for NORAM and EMEA

Legal Counsel and Risk Management

  • Provide timely guidance to internal stakeholders on commercial and contractual matters
  • Identify legal risks and recommend practical mitigation strategies
  • Advise on trademark, IP, and cross-border legal issues
  • Resolve issues with autonomy and pragmatism, avoiding unnecessary escalation or delay

Templates and Knowledge Transfer

  • Develop and maintain contract templates, legal playbooks, and guidelines for internal teams
  • Deliver ad hoc legal training to stakeholders across regions

What You Bring

Required

  • JD from an accredited U.S. law school; active admission to a U.S. state bar
  • 5+ years of legal experience, including significant enterprise SaaS contract negotiation in a vendor-side environment
  • Demonstrated experience negotiating commercial contracts in the technology or SaaS sector
  • Working knowledge of UK and German legal frameworks for commercial contracts and data protection
  • Working knowledge of GDPR, UK GDPR, and CCPA in a multinational context
  • Strong analytical, drafting, and communication skills
  • Familiarity with trademark law and IP in a commercial setting
  • Ability to manage competing priorities independently and deliver under tight timelines

Preferred

  • Prior in-house legal experience at a technology or SaaS company
  • Experience supporting international sales teams across NORAM and EMEA
  • Privacy law certification (CIPP/E or CIPP/US)
  • Experience with complex transactions involving security, privacy, and IP
  • Working knowledge of German commercial law and contract standards
  • Fluency in German or Spanish
