Job description

Corporate Solicitor (5+ PQE)

We are looking for an experienced Corporate Solicitor with a minimum of 5 years’ PQE to join Harper James. This is an excellent opportunity to work with a dynamic and growing client base ranging from ambitious start‑ups and scale‑ups to established national and international businesses operating at the forefront of their sectors.

You will join a highly experienced transactional Corporate team within a modern, tech‑enabled law firm, working on a wide variety of corporate matters while benefiting from the support and collaboration of a strong national team.

What you’ll be doing

You will advise clients on a broad range of corporate transactions, supporting businesses through key stages of growth, investment and strategic development. You will manage transactions independently while also collaborating with colleagues on larger and more complex matters.

Our Corporate team is a dedicated corporate practice and works closely with colleagues across our Commercial, IP, Litigation, Real Estate and HR teams. This structure allows us to provide a full‑service offering to our clients while maintaining a strong focus on high‑quality corporate work.

Your work is likely to include advising on matters such as:

  • Mergers and acquisitions, business exits and disposals

  • Acting for investors in investment rounds and strategic investments

  • Supporting company clients through funding rounds

  • Founder equity and shareholder arrangements

  • Corporate restructures and group reorganisations

  • Shareholder agreements and corporate governance matters

  • Company formations and structuring for growth businesses

  • General corporate advisory work for founder‑led and high‑growth businesses

You will work closely with investors, founders, boards, senior leadership teams and in‑house legal teams, providing pragmatic, commercially focused advice that helps clients navigate complex transactions and achieve their strategic objectives.

What we’re looking for

  • Minimum 5 years’ PQE with strong experience in corporate transactional work

  • Experience managing corporate transactions independently

  • Experience supporting colleagues on larger or more complex deals

  • Exposure to investment and/or finance transactions would be beneficial but is not essential

  • A proactive, commercial approach to advising clients

  • Strong drafting, negotiation and project management skills

  • Excellent client relationship and stakeholder management abilities

  • A collaborative team player who enjoys working within a supportive and experienced team
