  • 8+ years of paralegal experience in-house or at a law firm, with at least 2 years in a senior capacity

  • Manage global entity records and regulatory filings across multiple jurisdictions; support corporate governance activities including board resolutions, minutes, cap tables and subsidiary management; assist with board meeting logistics
  • Monitor regulatory developments in digital assets and cross-border compliance; support licence applications, regulator correspondence, and responses to government inquiries; assist with GDPR/CCPA and other data privacy matters
  • Oversee legal operations and tooling, including the CLM lifecycle, document repositories, knowledge management, and identify improvements to e-signature, matter management and related processes; support marketing, employment and cross-border compliance efforts

Job description

The Role

We're looking for a highly motivated and organised Senior Paralegal to join our growing Legal & Compliance team. You'll be a key operational and legal partner across a range of matters - from commercial contracts, corporate governance, marketing, regulatory and cross border compliance — taking end-to-end ownership of complex projects in a fast-moving, remote-first environment and expected to operate with significant autonomy.

Responsibilities

Contracts

  • Draft, review and manage a wide variety of commercial agreements: SaaS/IaaS, NDAs, vendor, partnership and data processing agreements.

  • Develop and maintain standard templates, playbooks and approval workflows.

Corporate governance

  • Manage global entity records: formations, qualifications, dissolutions and regulatory filings across multiple jurisdictions.

  • Support corporate governance activities, including board resolutions, corporate minute books, cap tables, governance documentation, entity maintenance, and subsidiary management across multiple jurisdictions.

  • Support board meeting logistics including agendas, resolutions and minutes.

Regulatory & compliance

  • Monitor regulatory developments in digital assets, staking and DeFi across key jurisdictions (US, EU/MiCA, UK, APAC) and conduct research as appropriate.

  • Support licence and registration applications and correspondence with regulators.

  • Help prepare responses to government inquiries and subpoenas.

  • Assist with data privacy compliance matters, including GDPR, CCPA, and other applicable frameworks

  • Support employment and HR-related legal matters across U.S. and international jurisdictions

Marketing

  • Review and provide legal support for marketing and communications materials, including advertising copy, promotional content, partner announcements, and social media posts - ensuring compliance with applicable regulations, disclosure requirements, and brand standards

  • Draft marketing agreements, including rights of publicity, case studies, releases, sponsorships, and events

Legal operations

  • Own and continuously improve legal tooling, document repositories and workflows.

  • Own the contract lifecycle management (CLM) system, tracking renewals and key obligations.

  • Identify and implement tooling improvements across the legal function (e.g., e-signature, matter management, knowledge management)

Requirements

Required

  • 8+ years of paralegal experience in-house or at a law firm, with at least 2 years in a senior capacity.

  • Strong background in corporate/commercial law and technology contracts.

  • Experience with international entity management and multi-jurisdictional filings.

  • Proficiency with CLM software (Ironclad, SpotDraft or similar), DocuSign, GSuite/M365.

  • Excellent written communication and organisational skills; comfortable with autonomy and ambiguity.

Preferred

  • Experience in blockchain, crypto, Web3 or digital asset companies.

  • Familiarity with digital asset regulations: MiCA, VASP/AMLD5, FCA, FinCEN.

  • Exposure to GDPR, CCPA or other data protection frameworks.

  • Experience supporting intercompany restructurings.

Compensation & Benefits

The base salary range for this position is $80,000 - $130,000 USD annually. The final offer will be determined based on factors including your experience, skills, qualifications, geographic location, and internal equity considerations.

In addition to base salary, this role includes equity compensation and a comprehensive benefits package. We offer competitive health cover, 401k, flexible paid time off, and other perks designed to support your wellbeing and professional growth.

This position is remote and open to candidates located anywhere in the United States, with a preference for those on the East Coast.
