  • Strong understanding of commercial legal issues related to SaaS and software licensing, professional services, and other go-to-market programs.

Job description

Our client, a mission-driven, fast-growing private cloud company and leader in real-time analytics, data warehousing, and data observability, has exclusively engaged Solutus Legal Search to assist its executives in hiring an attorney to serve as Senior Commercial Counsel.

Reporting to the Associate General Counsel, this attorney will be an early member of the company’s legal team. This attorney will be responsible for supporting the sales team in reviewing and negotiating customer agreements and providing legal support for revenue-generating activities in the Americas and APAC. This role is remote and based in the Pacific Time Zone.


Responsibilities:
  • Support the go-to-market team by reviewing and negotiating customer contracts. This role will support the Americas and APAC.
  • Lead complex cross-border transactions with sophisticated counterparties across multiple jurisdictions.
  • Monitor and advise on relevant regulatory, compliance, and legal developments.
  • Provide training, maintain and update policies and templates, and develop and improve scalable workflows to support and enable the company’s growth.

  • Strong academic credentials and membership in good standing with at least one U.S. state bar.

  • Proven experience drafting, negotiating, and closing complex commercial software and SaaS agreements with enterprise customers, partners, and resellers across multiple jurisdictions.
  • Strong understanding of commercial legal issues related to SaaS and software licensing, professional services, and other go-to-market programs.
  • Excellent judgment, strong business orientation, and ability to translate legal risk into practical commercial advice.
  • Strong interpersonal, communication, and management skills and the ability to build trust with sales teams, cross-functional stakeholders, and customers.
  • Exceptional attention to detail, strong organizational skills and ability to manage multiple priorities and meet deadlines in a fast-moving, high-growth environment.
  • Experience supporting a high-growth infrastructure SaaS company is a plus.
  • Experience supporting APAC is a plus.
  • The current targeted base salary for this position ranges from $250,000 - $275,000, plus equity and a generous benefits package. Actual compensation is determined based on several factors, including a candidate’s qualifications, number of years of directly relevant experience, and location.
