  • Advise internal business teams on contractual obligations, risk management, and compliance related to commercial transactions; ensure agreements comply with policies and laws
  • Lead negotiations to secure favorable terms while maintaining strong business relationships; collaborate cross-functionally with sales, compliance, risk management, procurement, finance, and operations

To drive continued success in this exciting clinical research field, we are seeking a committed, skilled, and customer-focused individual to join our winning team as Corporate Counsel for our Bridgewater, New Jersey, USA on-site location, or remotely from a home-based office anywhere in the USA in accordance with our Work from Home policy.

Corporate Counsel:

This Corporate Counsel position requires strong expertise in contract law, preferably with experience in the life sciences industry. You will be a critical member of Everest’s legal team helping to drive commercial contracts with clients, partners and vendors while supporting multiple departments.

Key Accountabilities:

  • Negotiate, draft, and redline customer agreements, vendor agreements license agreements, partnership agreements, confidentiality agreements, work orders, data protection agreements, and other documents; when appropriate, collaborate with leadership and internal stakeholders to define/drive discussions with clients and prospects.
  • Independently support critical commercial matters for the company, including complex and strategic transactions (partnerships, technology integrations, among others).
  • Collaborate with internal and external experts to ensure that commercial agreements comply with policies, laws, rules, and regulations.
  • Advise internal business teams on contractual obligations, risk management, and compliance related to commercial transactions.
  • Collaborate with internal and external experts to ensure that commercial agreements appropriately manage risk and comply with policies, laws, rules, and regulations.
  • Lead negotiations in a respectful and professional manner to ensure favorable terms while maintaining strong business relationships.
  • Collaborate cross-functionally with sales, compliance, risk management, procurement, finance, and operations to support business objectives.
  • Provide legal support for contract lifecycle management, including amendments, renewals, and dispute resolution.
  • Stay current on relevant laws, regulations, and industry best practices impacting commercial transactions.
  • Embed within the business to understand the objectives of the business unit(s) and the key elements driving profitability.
  • Identify potential legal risks and/or impacts to existing businesses, new ventures, and products, as appropriate.
  • Assist with updating and drafting new corporate policies and SOPs.

        Qualifications and Experience:

        • Juris Doctor (JD) from an accredited law school
        • Active law license in good standing in any state
        • Minimum of 2-4 years of experience in negotiating services agreements and work worders with clients and vendors
        • Experience advising across departments on business and contractual matters—ideally within the life sciences industry.
        • Strong drafting and negotiation skills for complex commercial agreements.
        • Highly autonomous and self‑motivated, with sound judgment and the ability to manage multiple priorities with urgency.
        • Ability to understand business strategy and basic financial considerations.
        • Strong knowledge of business to business agreements, risk assessment, and operational impacts.
        • Ability to quickly evaluate complex legal/regulatory issues and recommend sound courses of action.
        • Excellent oral and written communication skills, with the ability to influence and advise at all organizational levels.
        • Professional demeanor and respectful communication skills with clients, partners, vendors and colleagues.
        • Assist Quality Assurance in drafting and revising corporate policies with a legal lens.
