Job description

This is a remote position.

Legal, Investor Relations (IR), and Insurance Business Project Manager with M&A experience is a highly specialized operator who manages the risk, compliance, communication, and protection layers of a deal. They ensure that legal structures, investor messaging, and insurance coverage are aligned and seamlessly integrated before, during, and after a transaction.

On paper, this person blends legal coordination, financial communications, risk management, and program leadership.

Key Responsibilities

M&A / Transaction Execution

  • Coordinate legal, IR, and insurance workstreams across the full M&A lifecycle (pre-deal through post-close).
  • Support due diligence by organizing legal documentation, risk assessments, and disclosure materials.
  • Track and manage deal risks, contingencies, and mitigation plans.
  • Ensure Day 1 readiness for legal structures, insurance coverage, and investor communications.


Legal & Compliance

  • Partner with Legal teams to manage contract reviews, entity structuring, and regulatory filings.
  • Coordinate execution of transaction documents (purchase agreements, NDAs, TSAs).
  • Ensure compliance with SEC regulations, corporate governance standards, and local laws.
  • Oversee integration of legal entities, policies, and compliance frameworks post-close.


Investor Relations (IR)

  • Support development of investor communications related to acquisitions (earnings calls, press releases, disclosures).
  • Ensure consistent and accurate financial messaging and reporting.
  • Coordinate with Finance and leadership on valuation narratives and synergy reporting.
  • Manage timelines for public disclosures and investor updates.


Insurance & Risk Management

  • Assess and align insurance coverage (D&O, general liability, cyber, E&O) across merging entities.
  • Identify risk exposures and ensure proper coverage during and after the transaction.
  • Coordinate with brokers and carriers on policy transitions, renewals, and claims considerations.
  • Support negotiation of indemnities, warranties, and risk transfer mechanisms.


Project / Program Leadership

  • Develop and manage integrated project plans across Legal, IR, Risk, and Finance.
  • Facilitate cross-functional alignment with Legal, Finance, HR, and Operations teams.
  • Track milestones, risks, and dependencies across multiple workstreams.
  • Provide executive-level reporting on deal readiness, compliance, and risk posture.


Typical Experience

  • 7–12+ years in program/project management, legal operations, investor relations, or risk/insurance.
  • Direct experience supporting M&A transactions, ideally in corporate or PE-backed environments.
  • Familiarity with public company requirements (if IR-heavy role).
  • Background in industries like financial services, insurance, real estate, corporate services, or private equity.
