Roles & Responsibilities

  • Paralegal certificate or Associate's degree in legal studies from an ABA-approved program
  • 7+ years of relevant in-house experience at a US or international public company
  • Experience supporting the board of Directors, Corporate Secretary and assisting with SEC and Nasdaq filings and records
  • Strong organizational and writing/editing skills with attention to detail; ability to work independently and in a team environment

Requirements:

  • Assist with corporate governance activities, including maintenance of books and records for the corporate secretary function; draft board meeting agendas, resolutions, consents, minutes and notices of meetings; distribute materials and coordinate meeting logistics; document and manage post-meetings action items
  • Support annual stockholder meeting processes, including stockholder communications, coordination of the meeting, notebook creation, initial drafting of minutes, and updating the investor site
  • Assist with corporate filings for US public company requirements (Exchange Act filings such as 10-Q, 10-K, 8-K; proxy statements; and Section 16 filings)
  • Assist with corporate transactions, maintain minutes/files for governance committees, manage director/officer changes on internal/external systems, and support SOX sub-certifications and board/committee self-assessments

TaskUs seeks an experienced, highly motivated paralegal to serve as Senior Corporate Governance Manager. In this role, you will drive our corporate governance initiatives and directly support our executives and board of directors. 

 

You will be expected to act independently, operate proactively and have a passion and appreciation for the values and mission of the company. You will demonstrate strong analytical skills and an ability to problem solve and think creatively, and you must be attuned to working with a sense of urgency and accountability. You will demonstrate leadership, take criticism positively, and seek process improvement.

This position will be fully remote with occasional travel to TaskUs’ global sites. You will predominantly provide support on US business hours, with availability at unconventional hours as needed to support our global teams. 

Main Responsibilities:

  • Assist with corporate governance activities, including maintenance of books and records for the corporate secretary function. [Public or private company]

  • Prepare drafts of corporate governance documents, such as board meeting agendas, resolutions, consents, minutes and notices of meetings.

  • Distribute board meeting materials through a third-party board portal and coordinate meeting logistics.

  • Document and manage post-meetings action items, including preparation of shell minutes.

  • Assist with annual stockholder meeting, including stockholder communication; coordination of annual meeting; notebook creation; initial drafting of minutes; and updating investor site.

  • Assist with corporate filings, including Exchange Act reports (10-Q, 10-K, 8-K), proxy statements, and Section 16 filings (Form 3s and 4s). [US public company]

  • Assist with corporate transactions, as necessary, including coordinating document review, updating data rooms, etc. [Deprioritize]

  • Maintain minutes and files for management committees, including Disclosure Committee and any subcommittees.

  • Prepare and manage critical corporate governance processes, including SOX sub-certifications, D&O questionnaires, and Board and Committee self-assessments.

  • Manage director and officer changes on internal and external websites and systems.

  • Assist with global legal entity management.

  • Assist with transfer agent matters, including with respect to reconciliation of shares outstanding and shareholder requests.

  • Assist with insider trading policy compliance and notifications.

  • Assist with, obtain, and distribute notarizations, apostilles, legalized documents, certified copies, corporate filings, and other corporate documents as needed.

  • Assist with equity-related projects as needed.

  • Triage legal mail.

  • Other duties as assigned.

Qualifications: 

  • Paralegal certificate or Associates degree in legal studies from ABA approved program. 

  • 7+ years of relevant experience in-house experience at a US or international public company [4+ yrs minimum].

  • Experience supporting the board of Directors, the Corporate Secretary and assisting with SEC and Nasdaq filings and records.

  • Strong organizational skills and close attention to detail.

  • Excellent writing and editing skills.

  • Background assisting with compliance-related matters preferred.

  • Ability to work independently and in a team environment.
