Role Summary
Our client is searching for a General Counsel to join their team. The General Counsel (GC) serves as the chief legal and risk officer for the organization, providing integrated support across its diverse portfolio of growth-focused businesses. This role oversees all legal affairs and enterprise risk and serves as a strategic partner to the executive team and Board on matters affecting commercial models, strategic partnerships, M&A, regulatory compliance, and scalable expansion. The General Counsel will translate complex legal and regulatory requirements into practical, business-aligned guidance that enables the organization to pursue its growth agenda with confidence and responsibility across multiple industries and jurisdictions.

Key Result Areas 1. Corporate Governance & Strategic Advisory
Advise the CEO, executive team, and Board on legal risks and implications of strategic decisions, commercial initiatives, and M&A activities
Support Board and committee meetings, including preparation and review of materials, minutes, resolutions, and corporate records
Ensure compliance with corporate governance best practices and applicable laws in relevant jurisdictions
2. Commercial Contracts & Strategic Agreements
Draft, review, and negotiate a wide range of commercial contracts, including master service agreements, transportation and warehousing contracts, 3PL/4PL agreements, supplier and vendor contracts, NDAs, technology and SaaS agreements, and strategic partnership deals
Develop and maintain contract templates, playbooks, and negotiation guidelines that balance risk mitigation with operational flexibility and commercial objectives
Provide pragmatic guidance to Sales, Operations, Procurement, and Finance on contract risks, SLAs, liability, indemnity, insurance, and dispute resolution provisions
Oversee compliance with applicable laws and regulations related to logistics, transportation, warehousing, trade, customs, data privacy, employment, and health and safety
Monitor legal and regulatory developments affecting the supply chain industry and translate these into actionable guidance and policies
Partner with Operations, HR, and Finance to design and maintain compliance programs, training, and internal controls that reduce legal and operational risk
4. Dispute Resolution & Litigation Management
Manage and resolve disputes with customers, suppliers, carriers, and other third parties, including demand letters, settlement negotiations, and alternative dispute resolution
Oversee litigation and regulatory investigations, working with external counsel where appropriate, and managing associated budgets and strategies
Develop and implement strategies to prevent disputes through contract language, process improvements, and proactive risk management
5. Employment & Labor Law
Advise HR and management on employment-related issues, including hiring, termination, performance management, workplace policies, accommodations, and compliance with employment laws
Review and update employment agreements, restrictive covenants, compensation and incentive plans, and contractor/consultant arrangements
Support investigations of employee complaints and ensure appropriate documentation and resolution
6. Policy, Ethics & Compliance Training
Create, maintain, and communicate company policies and codes of conduct (anti-corruption, competition/antitrust, data privacy, trade controls, conflicts of interest, whistleblower)
Deliver or oversee training for employees and leaders on key legal and compliance topics relevant to supply chain operations
Implement systems and processes to track compliance, report issues, and ensure timely remediation
7. External Counsel, Insurance & Legal Operations
Select, manage, and evaluate outside counsel to ensure high-quality, cost-effective legal services
Coordinate with Finance and Risk Management on insurance coverage, claims, renewals, and risk-transfer strategies
Develop and manage the legal department budget and outside legal spending
